【摘要】：加強(qiáng)股東權(quán)的司法保障,意在通過司法程序和訴訟制度實(shí)現(xiàn)對股東權(quán)的司法救濟(jì)。通過對"中國裁判文書網(wǎng)"的檢索,發(fā)現(xiàn)實(shí)踐中因股東權(quán)遭受侵害而引發(fā)的糾紛時有發(fā)生,尤其是股東代表訴訟案件,呈逐年增長趨勢,而現(xiàn)行《公司法》及其《司法解釋》對股東權(quán)的司法保障存在嚴(yán)重不足。最新通過的《公司法司法解釋(四)》對股東訴訟案件進(jìn)行類型化規(guī)定,在解決《公司法》具體適用的同時,豐富了《民事訴訟法》的相關(guān)理論,如第三人撤銷之訴、訴訟擔(dān)當(dāng)、訴訟承繼等,從而大大擴(kuò)展了股東權(quán)保障的范圍。盡管如此,《公司法司法解釋(四)》仍有進(jìn)一步完善之必要。
[Abstract]:The purpose of strengthening the judicial guarantee of shareholders' rights is to realize the judicial relief of shareholders' rights through judicial procedure and litigation system. Through the retrieval of "China referee Book Network", it is found that the disputes caused by the infringement of shareholders' rights occur from time to time in practice, especially the litigation cases of shareholder representatives, which show an increasing trend year by year. However, the current Company Law and its Judicial interpretation have serious deficiencies in the judicial protection of shareholders' rights. The newly adopted interpretation of the Company Law (4) classifies the litigation cases of shareholders, which not only solves the specific application of the Company Law, but also enriches the relevant theories of the Civil procedure Law, such as the withdrawal of the lawsuit by the third party. Litigation, litigation succession and so on, thus greatly expanding the scope of shareholder rights protection. Nevertheless, the interpretation of Company Law (4) is still necessary for further improvement.
