【摘要】：21世紀(jì)前十多年來,隨著經(jīng)濟(jì)全球化浪潮的不斷深入,市場的競爭越來越激烈,市場環(huán)境變化也瞬息萬變,而在激烈的市場競爭中,企業(yè)所面臨的制定的規(guī)則也越來越規(guī)范,越來越透明,在這種市場競爭和規(guī)范環(huán)境中,既有可能給企業(yè)帶來更多的豐厚回報,也有可能造成潛在的競爭風(fēng)險。因此,在企業(yè)實際生產(chǎn)經(jīng)營工作中,要迅速改變企業(yè)法律工作的一個“救火隊員”的角色,杜絕產(chǎn)生法律問題的一個簡單事后補救工作,建立健全一套完善的法律風(fēng)險防范的管理體系,特別是要構(gòu)建企業(yè)法律風(fēng)險的評估預(yù)警機(jī)制,發(fā)揮企業(yè)的法律部門、法務(wù)顧問在企業(yè)法律風(fēng)險防范中的重要作用,做好事前和事中控制,做好企業(yè)在激烈市場競爭中取得勝利的重要助手。與西方發(fā)達(dá)國家相比較而言,我國對于企業(yè)法律風(fēng)險管理的研究特別是實踐比較落后,對于企業(yè)法律風(fēng)險管理的意識還未普及和建立,企業(yè)在生產(chǎn)經(jīng)營中的風(fēng)險意識極為淡薄,而對企業(yè)法律風(fēng)險管理的研究幾乎是剛起步。本文以S公司為例,在企業(yè)法律風(fēng)險的防范和管理上進(jìn)行相應(yīng)探索,對于推進(jìn)企業(yè)的法律風(fēng)險管理事業(yè)具有理論和實際指導(dǎo)意義。本文在相關(guān)理論文獻(xiàn)的閱讀和研究的基礎(chǔ)上,結(jié)合S公司的實地調(diào)研情況,通過對S公司基本情況的介紹及法律風(fēng)險管理現(xiàn)狀的分析,發(fā)現(xiàn)S公司法律風(fēng)險管理中存在的問題,進(jìn)一步提出完善S公司法律風(fēng)險管理體系的相關(guān)建議,以期在解決S公司乃至我國企業(yè)法律風(fēng)險管理的問題中起到借鑒作用。
[Abstract]:In the first ten years of the 21st century, with the deepening of economic globalization, the competition in the market is becoming more and more intense, and the market environment is changing rapidly. In the fierce market competition, the rules that enterprises are faced with are becoming more and more standardized. More and more transparent, in this kind of market competition and regulation environment, not only may bring more rich returns to the enterprise, but also may cause the potential competition risk. Therefore, in the actual production and operation of an enterprise, it is necessary to quickly change the role of a "firefighter" in the legal work of an enterprise, so as to put an end to a simple afterwards remedial work that creates legal problems. To establish and perfect a set of perfect management system of legal risk prevention, especially to construct an evaluation and early warning mechanism of enterprise legal risk, to give play to the important role of legal department and legal consultant in the prevention of enterprise legal risk, Do a good job in advance and in-process control, do a good job in the fierce market competition in the victory of the important assistant. Compared with the western developed countries, the research on the enterprise legal risk management in our country, especially in practice, is relatively backward, and the awareness of the enterprise legal risk management has not been popularized and established, and the risk consciousness of the enterprise in the production and operation is extremely weak. However, the research on legal risk management of enterprises is almost at the beginning. This article takes S Company as an example, carries on the corresponding exploration in the enterprise legal risk prevention and the management, has the theory and the practical instruction significance to the advancement enterprise legal risk management enterprise. Based on the reading and research of relevant theoretical documents, combined with the field investigation of S Company, through the introduction of the basic situation of S Company and the analysis of the current situation of legal risk management, this paper finds out the problems existing in the legal risk Management of S Company. Further, the author puts forward some suggestions on how to perfect the legal risk management system of S Company, in order to play a reference role in solving the problem of legal risk management in S Company and even in our country.
