【摘要】：智能投顧是金融科技的重要組成部分,改變了傳統(tǒng)上依靠市場價格信號作為投資決策主要依據(jù)的行為方式。目前,我國智能投顧的定性、法律關(guān)系尚未明確,整體服務(wù)水平良莠不齊。營運者本該遵守適當性義務(wù)、透明度規(guī)則和信義義務(wù),但現(xiàn)行法律法規(guī)難以對營運者形成有效約束。智能投顧在改變金融市場交易行為、投資方式以及投資者理財觀念的同時,也由于網(wǎng)絡(luò)虛擬性、網(wǎng)絡(luò)黑客攻擊、網(wǎng)絡(luò)證券欺詐、網(wǎng)絡(luò)內(nèi)幕交易等問題而給金融安全帶來了一系列挑戰(zhàn)。為此,應(yīng)及早將智能投顧納入監(jiān)管范圍,重視私法規(guī)則與證券相關(guān)法律法規(guī)規(guī)范相結(jié)合,并就智能投顧的特殊風險對營運者提出更高的義務(wù)要求,不斷健全配套的爭議糾紛解決機制和相應(yīng)的補償安排,以促進我國智能投顧業(yè)健康發(fā)展。
[Abstract]:Intelligent investment is an important part of financial science and technology, which has changed the traditional behavior that relies on market price signal as the main basis for investment decision. At present, the nature of intelligent investment in China, the legal relationship is not clear, the overall level of service is mixed. The operator is supposed to comply with due diligence, transparency rules and fiduciary obligations, but the existing laws and regulations are difficult to effectively bind the operator. While changing the financial market trading behavior, investment methods and investors' financial management concepts, the intelligent investment is also due to the virtual nature of the network, network hacking attacks, and network securities fraud. Network insider trading and other issues have brought a series of challenges to financial security. To this end, intelligent patronage should be brought into the scope of supervision as early as possible, and the combination of private law rules with the relevant laws and regulations of securities should be attached importance to, and higher obligations should be placed on operators with regard to the special risks of intelligent patronage. To promote the healthy development of intelligent investment industry in China, the supporting dispute resolution mechanism and corresponding compensation arrangements are constantly improved.
