【摘要】：注冊(cè)制改革已經(jīng)超越了可行性論證階段,正進(jìn)入具體制度設(shè)計(jì)和實(shí)施階段。在這個(gè)階段,進(jìn)一步理解注冊(cè)制的內(nèi)涵,明晰注冊(cè)制的本質(zhì),并提出具體措施和風(fēng)險(xiǎn)防范手段非常重要。本文認(rèn)為,注冊(cè)制具備以下三個(gè)特點(diǎn):第一,股票發(fā)行效率高、業(yè)內(nèi)對(duì)發(fā)行流程有穩(wěn)定預(yù)期;第二,股票發(fā)行有責(zé)任約束、股票發(fā)行誠(chéng)信度高;第三,政府、市場(chǎng)主體各司其職,角色不錯(cuò)位。注冊(cè)制的本質(zhì)在于調(diào)整政府和市場(chǎng)的關(guān)系,一方面減少行政審批、提高制度的效率和可預(yù)期性,另一方面落實(shí)法律責(zé)任、發(fā)揮市場(chǎng)主體的積極性。推進(jìn)和實(shí)施注冊(cè)制需要重點(diǎn)做好三個(gè)方面的工作:第一,不糾結(jié)概念,落實(shí)注冊(cè)制的實(shí)質(zhì);第二,研究和推動(dòng)法律責(zé)任落實(shí)問(wèn)題;第三,提高監(jiān)管機(jī)構(gòu)招股書審核能力。
[Abstract]:The reform of registration system has gone beyond the stage of feasibility demonstration and is entering the stage of system design and implementation. At this stage, it is very important to further understand the connotation of registration system, clarify the essence of registration system, and put forward concrete measures and risk prevention measures. This paper holds that the registration system has the following three characteristics: first, the efficiency of stock issuance is high, the industry has a stable expectation of the issuing process; Third, the government, the main body of the market to perform their respective roles, a good role. The essence of the registration system lies in adjusting the relationship between the government and the market. On the one hand, it reduces the administrative examination and approval, improves the efficiency and predictability of the system, on the other hand, implements the legal responsibility and gives full play to the enthusiasm of the market subject. To promote and implement the registration system, we need to focus on three aspects: first, do not dwell on the concept, implement the essence of the registration system; second, study and promote the implementation of legal responsibility; third, improve the regulatory authority's ability to review the prospectus.
