【摘要】：我國證券市場自建立以來,民間配資活動就從未中斷過,甚至在融資融券制度建立之后場外配資活動也并無消減之勢。但是近來股市的跌宕讓場外配資獲得公眾與監(jiān)管層從所未有的關(guān)注,在對場外配資大規(guī)模的清理運動背景下更值得我們?nèi)シ此紙鐾馀滟Y基本的邏輯,更需要審慎考察的是在這場清理運動中涉及到不同主體之間的法律關(guān)系,并透過其法律關(guān)系檢視各主體行為之合法性。場外配資活動就像是一面鏡子,可以從中反射出融資融券制度的諸多不完善之處,同時也提醒監(jiān)管層反思如何更好地構(gòu)建融資融券這一制度。
[Abstract]:Since the establishment of the securities market in China, the private allocation activities have never been interrupted, even after the establishment of the margin financing system, there is no tendency to reduce the over-the-counter allocation activities. However, due to the recent ups and downs in the stock market, OTC allocation has received unprecedented public and regulatory attention. In the context of the large-scale clean-up campaign on OTC allocation, it is even more worthwhile for us to reflect on the basic logic of OTC allocation. What needs to be carefully examined is that the legal relationship between different subjects is involved in the clean-up movement, and the legality of each subject's behavior should be examined through its legal relationship. OTC allocation activities are like a mirror, which can reflect many imperfections of margin and short margin system, but also remind regulators to reflect on how to better construct the system.
