深圳商事登記制度優(yōu)化研究

【摘要】:作為一個(gè)國家或地區(qū)商事法律制度之重要內(nèi)容,商事登記制度具有推進(jìn)社會(huì)經(jīng)濟(jì)健康、穩(wěn)定、有序發(fā)展、保障商業(yè)交易安全、維護(hù)商事主體及相關(guān)各方合法權(quán)益的重要作用。深圳作為國家商事登記制度改革的重要試驗(yàn)區(qū),先行先試,勇于探索,取得了預(yù)期的豐碩成果,主要體現(xiàn)為實(shí)行主體資格與營業(yè)資格的分開獨(dú)立登記等七個(gè)方面。深圳商事登記制度,雖然在改革之后取得了可喜的成績,但在實(shí)踐中逐漸暴露出了一些問題,諸如在登記對象、登記事項(xiàng)等若干方面存在的問題。經(jīng)分析發(fā)現(xiàn),其中不僅有動(dòng)態(tài)管理層面政府治理能力方面的原因,還有靜態(tài)職能層面職能轉(zhuǎn)變和服務(wù)型政府建設(shè)方面的原因。找出了問題成因后,就此對癥下藥,有針對性地提出了優(yōu)化措施,比如,在登記對象方面,取消個(gè)體戶主體類型的登記,將部分民辦非企業(yè)單位和律師事務(wù)所均歸入商事登記,將部分行業(yè)由“先證后照”改革為“先照后證”。本文力求形成既扎根深圳實(shí)際情況又符合國際商業(yè)慣例的科學(xué)合理的優(yōu)化措施體系,其中既有關(guān)于制度本身具體內(nèi)容的優(yōu)化建議,又有相關(guān)配套改革領(lǐng)域之建設(shè)與完善的對策建議;既有關(guān)于制度這一客體層面的優(yōu)化建議,又有關(guān)于登記人員這一主體層面的隊(duì)伍建設(shè)提議。全面而系統(tǒng)的優(yōu)化措施體系的提出,有益于深圳商事登記制度的繼續(xù)深化改革和不斷發(fā)展完善,有益于為不久的將來廣東乃至全國商事登記制度的構(gòu)建提供有價(jià)值的啟發(fā)、參考和借鑒,也有益于促進(jìn)深圳經(jīng)濟(jì)社會(huì)的發(fā)展特別是商業(yè)的興旺繁榮。
[Abstract]:As an important part of the commercial legal system of a country or region, the commercial registration system plays an important role in promoting the healthy, stable and orderly development of social economy, ensuring the security of commercial transactions, and safeguarding the legitimate rights and interests of commercial subjects and related parties. Shenzhen, as an important experimental area for the reform of the state commercial registration system, has tried first and dared to explore, and has achieved the expected fruitful results, which is mainly reflected in seven aspects, such as the separate registration of the subject qualification and the business qualification, and so on. Although the commercial registration system of Shenzhen has made gratifying achievements after the reform, it has gradually exposed some problems in practice, such as the problems existing in some aspects, such as the object of registration, the registration items, and so on. Through analysis, it is found that there are not only the reasons of dynamic management level government governance ability, but also the static functional level functional transformation and service-oriented government construction. After finding out the causes of the problems, this paper puts forward the appropriate measures to solve the problem. For example, in terms of registration objects, the registration of the main types of self-employed businesses is cancelled, and some private non-enterprise units and law firms are all classified as commercial registration. Part of the industry from the first card after the reform of the first card after the card. This paper tries to form a scientific and reasonable system of optimization measures, which is both rooted in the actual situation in Shenzhen and in conformity with international business practices, with some suggestions on the optimization of the specific contents of the system itself. There are also suggestions for the construction and improvement of related reform fields, both about the optimization of the system as an object level, and the construction of the contingent at the subject level of the registrar. The proposal of a comprehensive and systematic system of optimization measures is beneficial to the further reform and continuous development of the commercial registration system in Shenzhen, and to providing valuable inspiration for the construction of the commercial registration system in Guangdong and even the whole country in the near future. Reference and reference, also conducive to the economic and social development of Shenzhen, especially the prosperity of business.
