外國(guó)投資之界定
[Abstract]:Foreign investment is the basic concept in the legal system of foreign investment. According to the "Sino-foreign Joint Ventures Law", the "Law on Foreign-funded Enterprises", the "Sino-Foreign Joint Ventures Law" (hereinafter referred to as the "three Foreign Investment laws") and foreign capital mergers and acquisitions, foreign investment is the basic concept in the legal system of foreign investment. At present, the foreign investment in our country includes not only greenfield investment, but also cooperative resource development, foreign loan and foreign capital merger and acquisition. At present, there are different understandings of foreign investment in our country's legislation and judicial practice. "nationality of investment subject", "source of capital" and "place of registration" are adopted to determine whether foreign investment is a foreign investment or not. Due to the existence of different standards for determining foreign investment in our legislation, not only legal practitioners should pay attention to the scope of application of different laws and regulations in practice, but also cause thinking in the industry. In the process of legislation and supervision, Which criteria are more reasonable to apply? This paper studies the definition of foreign investment in some foreign legislations, analyzes the main body of foreign investment, the source of capital and the behavior of foreign investment, as well as the methods of defining foreign investment in foreign legislation. This paper makes a comparative analysis of the definition standard of foreign investment in foreign legislation, and obtains the reference meaning of the definition of foreign investment in our country. In view of the importance of the concept of "control" in defining the definition of foreign investors in the draft of the draft Law on Foreign Investment, this paper focuses on the study of control. Through the case study, it is explained that the concept of "control" in the "Foreign Investment Law (draft for comments)" may have the problem of defining contradiction and the problem of "common control", and the relevant legislative suggestions are put forward. In addition, this paper focuses on the issue of protocol control, because the problem of "protocol control" has different views in theory and practice. Therefore, the Foreign Investment Law (draft for comments) does not provide for "agreement control". It intends to listen to the public opinion and conduct research before putting forward proposals for handling it. After studying the definition of "agreement control", the application in practice and the actual situation of supervision, this paper puts forward that we should strengthen the supervision of "agreement control". To avoid this kind of foreign investment industry policy to restrict or prohibit the foreign businessmen to enter the field supervision "empty" situation to continue to exist at present, safeguard the authority of the national rule of law; At the same time, it is suggested that the relevant departments should continue to study how the industrial policies of foreign investment can meet the needs of national economy and national security, and adopt a more flexible way to solve the financing problems of some industries.
