【摘要】：羅馬法的抵銷是破產(chǎn)抵銷制度的起源,其以節(jié)省互負債務(wù)的雙方當事人之間互為給付和受領(lǐng)的費用為目的,其中破產(chǎn)抵銷權(quán)之行使是其生命質(zhì)點。我國現(xiàn)行《企業(yè)破產(chǎn)法》關(guān)于破產(chǎn)抵銷權(quán)之規(guī)定,借鑒了很多國外優(yōu)秀制度設(shè)計,彰顯出我國立法水平之進步。但是移植的有些內(nèi)容存在籠統(tǒng)、模糊的弊端。面對實踐中存有的現(xiàn)實問題,仍需我們對其制度設(shè)計附加更多思考。本文借助利益衡量的方法,對世界各國典型立法例作了闡述和差異性分析,并結(jié)合實際案例揭示了破產(chǎn)抵銷權(quán)在實踐中行使的狀況,以及由此引發(fā)的法律思考;分析了破產(chǎn)抵銷權(quán)行使要件,并結(jié)合我國的具體國情,提出了兩點完善建議,愿此文能夠為健全破產(chǎn)抵銷權(quán)的相關(guān)法律制度出一份力。
[Abstract]:The set-off of Roman law is the origin of the system of bankruptcy set-off, which aims at saving the costs of mutual payment and receiving between the parties with mutual liabilities, in which the exercise of the right of set-off in bankruptcy is the essence of its life. The provisions on the right of set-off for bankruptcy in China's current Enterprise bankruptcy Law draw lessons from the excellent institutional design of many foreign countries and highlight the progress of our country's legislative level. But some of the contents of transplantation are general and vague. In the face of the practical problems, we still need to add more thought to its system design. With the help of the method of interest measurement, this paper expounds and analyzes the differences of typical legislation cases of various countries in the world, and combined with the actual cases, reveals the situation of the exercise of the right of set-off in bankruptcy in practice, and the legal considerations arising therefrom; This paper analyzes the requirements for the exercise of the right of set-off in bankruptcy, and puts forward two suggestions for perfecting the relevant legal system of the right of set-off in bankruptcy, combining with the specific conditions of our country.
