【摘要】：破產(chǎn)重整是問題企業(yè)恢復(fù)健康的一項(xiàng)重要制度。實(shí)踐中,銀行作為"僵尸企業(yè)"破產(chǎn)重整中最大的債權(quán)人,其債權(quán)保護(hù)面臨兩方面的突出問題:一方面,重整計(jì)劃批準(zhǔn)過程中缺少必要的正當(dāng)程序、強(qiáng)制批準(zhǔn)情況下重整計(jì)劃草案的內(nèi)容設(shè)計(jì)不利于銀行債權(quán)的實(shí)現(xiàn);另一方面,在具體重整方法中,銀行債轉(zhuǎn)股方式面臨法律適用上的障礙。在"僵尸企業(yè)"市場處置過程中,銀行債權(quán)實(shí)現(xiàn)法律保障的內(nèi)容主要包括:其一,通過建立重整計(jì)劃草案批準(zhǔn)前的正當(dāng)程序,給予銀行債權(quán)人能夠充分表達(dá)自己意見的機(jī)會(huì);其二,通過重整計(jì)劃草案批準(zhǔn)后的異議機(jī)制,來保障債權(quán)人權(quán)益的有效救濟(jì);其三,通過銀行與金融資產(chǎn)管理公司、銀行與普通企業(yè)等不同主體間"債轉(zhuǎn)股"方式的分析,結(jié)合《商業(yè)銀行法》、《破產(chǎn)法》、《擔(dān)保法》、《公司法》等法律,提出銀行與"僵尸企業(yè)"間債轉(zhuǎn)股的具體內(nèi)容,推進(jìn)銀行債權(quán)以市場化處置的方式實(shí)現(xiàn)。
[Abstract]:Bankruptcy reorganization is an important system for problem enterprises to recover their health. In practice, as the biggest creditor in the bankruptcy and reorganization of "zombie enterprises", the bank's creditor's rights protection faces two outstanding problems: on the one hand, there is a lack of necessary due process in the process of approval of the reorganization plan. Under the circumstance of compulsory approval, the content design of the draft reorganization plan is not conducive to the realization of the bank's creditor's rights. On the other hand, in the specific reorganization method, the bank's debt-for-equity conversion is faced with obstacles in the application of the law. In the process of "zombie enterprise" market disposal, the main contents of the legal protection of bank creditor's rights include: first, by establishing the due process before the approval of the draft reorganization plan, the bank creditors can fully express their opinions; Second, through the objection mechanism after the approval of the draft reorganization plan, to protect the effective relief of creditors' rights and interests; third, through the analysis of the way of "debt-for-equity" conversion between different subjects such as banks and financial asset management companies, banks and ordinary enterprises, etc. Combined with the laws of Commercial Bank Law, bankruptcy Law, guarantee Law and Company Law, this paper puts forward the concrete contents of the conversion of debts into shares between banks and "zombie enterprises", so as to promote the realization of bank creditor's rights in the way of market-oriented disposal.
