我國(guó)P2P網(wǎng)貸平臺(tái)不當(dāng)行為的法律規(guī)制

【摘要】:我國(guó)P2P網(wǎng)絡(luò)借貸是信息時(shí)代金融創(chuàng)新的產(chǎn)物,通過(guò)將互聯(lián)網(wǎng)技術(shù)與民間借貸相結(jié)合,突破地域的限制,拓寬民間借貸業(yè)務(wù)邊界,主要為那些在傳統(tǒng)金融機(jī)構(gòu)中融資能力受限的個(gè)人和中小企業(yè)提供借貸服務(wù),既收獲了長(zhǎng)尾市場(chǎng)帶來(lái)的豐厚利潤(rùn)也實(shí)現(xiàn)了國(guó)家發(fā)展普惠金融的政策意義。從2007年國(guó)內(nèi)第一家網(wǎng)貸平臺(tái)拍拍貸上線至今,我國(guó)的網(wǎng)貸行業(yè)一直呈現(xiàn)迅猛增長(zhǎng)的發(fā)展態(tài)勢(shì),加之監(jiān)管缺失的大環(huán)境背景,各路資金涌入P2P網(wǎng)貸行業(yè),同時(shí)平臺(tái)跑路事件也屢見(jiàn)不鮮。隨著網(wǎng)貸行業(yè)的不斷發(fā)展,業(yè)務(wù)異化出各種模式,網(wǎng)貸行業(yè)風(fēng)險(xiǎn)也因杠桿或外包轉(zhuǎn)嫁等因素放大而難以控制。因而,該如何對(duì)P2P網(wǎng)貸平臺(tái)施行適度而有效的法律監(jiān)管,是當(dāng)下亟需解決且具有現(xiàn)實(shí)意義的一項(xiàng)重要課題本文首先從我國(guó)P2P網(wǎng)貸的起源及特征入手,對(duì)行業(yè)的發(fā)展現(xiàn)狀作簡(jiǎn)要概述,對(duì)國(guó)內(nèi)網(wǎng)貸的運(yùn)營(yíng)模式作系統(tǒng)梳理,以期全面分析目前國(guó)內(nèi)網(wǎng)貸平臺(tái)在運(yùn)營(yíng)過(guò)程中存在的主要風(fēng)險(xiǎn)。其次,通過(guò)對(duì)“不當(dāng)行為”的概念界定并將違法行為、犯罪行為與之進(jìn)行比較,明確“不當(dāng)行為”在本文語(yǔ)境下的含義,繼而結(jié)合典型案例將國(guó)內(nèi)P2P網(wǎng)貸平臺(tái)存在的不當(dāng)行為進(jìn)行歸類,指出現(xiàn)行國(guó)內(nèi)立法對(duì)網(wǎng)貸平臺(tái)規(guī)制的不足。最后通過(guò)對(duì)英美韓治理經(jīng)驗(yàn)的考察與借鑒,提出契合我國(guó)國(guó)情和網(wǎng)貸行業(yè)發(fā)展實(shí)際的一系列完善設(shè)想和改進(jìn)意見(jiàn)。
[Abstract]:P2P network lending in China is the product of financial innovation in the information age. By combining Internet technology with private lending, we can break through the regional restrictions and broaden the boundary of private lending business. It mainly provides loan services for those individuals and small and medium-sized enterprises with limited financing ability in traditional financial institutions, which not only reap the huge profits brought by the long tail market, but also realize the policy significance of the national development of inclusive finance. Since the introduction of PPDAI, the first domestic network loan platform in 2007, China's network loan industry has been showing a rapid growth trend, coupled with the lack of regulatory environment background, various funds poured into the P2P network lending industry. At the same time, platform running events are common. With the continuous development of the network loan industry, the business is alienated out of various models, and the risk of the network loan industry is also enlarged by leverage or outsourcing and so on, which is difficult to control. Therefore, how to carry out moderate and effective legal supervision on P2P network loan platform is an important subject that needs to be solved and has practical significance. This paper begins with the origin and characteristics of P2P network loan in China. This paper gives a brief overview of the current situation of the development of the industry and systematically combs the operation mode of the domestic net loan in order to comprehensively analyze the main risks existing in the operation process of the domestic network loan platform at present. Secondly, by defining the concept of "misconduct" and comparing the illegal behavior, criminal behavior with it, the meaning of "misconduct" in the context of this article is clarified. Then it classifies the improper behavior of the domestic P2P network loan platform with typical cases, and points out the deficiency of the current domestic legislation on the regulation of the network loan platform. Finally, through the investigation and reference of the governance experience of Britain, America and South Korea, the author puts forward a series of perfect ideas and suggestions which are in line with the situation of our country and the actual development of the net loan industry.
