【摘要】：連鎖經(jīng)營以其不小的規(guī)模、大家普遍能接受的成本的商業(yè)模式率先在美國出現(xiàn),并且在大部分的國家和地區(qū)得到了迅速發(fā)展,其強大的生存能力讓人驚嘆。在改革開放初期就將國外的連鎖經(jīng)營模式引進到我國,并伴隨著多年來的創(chuàng)新發(fā)展,我國的商業(yè)模式已經(jīng)形成了以連鎖經(jīng)營模式為主,傳統(tǒng)百貨業(yè)為輔的多樣化形式。但是,連鎖經(jīng)營在我國迅速發(fā)展的過程中還是存在不少問題:首先,連鎖經(jīng)營不成規(guī)模,各自獨立、不會合作;其次,一些連鎖經(jīng)營企業(yè)往往不能對自己的業(yè)態(tài)特點、市場定位等進行科學(xué)的企業(yè)發(fā)展規(guī)劃,使得連鎖經(jīng)營企業(yè)陷入不同程度的經(jīng)營困境;再次,連鎖經(jīng)營企業(yè)的規(guī)范化程度并不是太高,標準也不是很嚴格,形成不了有效的競爭優(yōu)勢。目前,我國學(xué)者對連鎖經(jīng)營進行的研究,大部分側(cè)重從經(jīng)濟學(xué)、管理學(xué)的角度切入,從法學(xué)的規(guī)范視角進行研究的成果還不多見。而隨著連鎖經(jīng)營成為市場經(jīng)濟條件下現(xiàn)代零售業(yè)的主導(dǎo)模式,在經(jīng)營上出現(xiàn)了規(guī)范化和統(tǒng)一化等新的要求。因此,對連鎖經(jīng)營的限制競爭行為在相關(guān)法律規(guī)制層面進行理論探析就顯得十分迫切。全文共分五個部分。首先,概述了連鎖經(jīng)營限制競爭行為的種類與特征,其次,分析了我國連鎖經(jīng)營限制競爭行為法律規(guī)制的不足;然后,在選擇性借鑒國外連鎖經(jīng)營限制競爭行為法律規(guī)制的有益經(jīng)驗的基礎(chǔ)上,提出了我國連鎖經(jīng)營中限制競爭行為法律規(guī)制的若干完善建議,包括:在明晰經(jīng)營產(chǎn)權(quán)的基礎(chǔ)上合理界定限制競爭行為;強化規(guī)制連鎖經(jīng)營中限制競爭的手段和方式;加強相關(guān)專門立法,完善該領(lǐng)域法律制度;完善執(zhí)法、司法機制,盡量營造既公平又有序的市場環(huán)境。
[Abstract]:Chain operation with its large scale, generally acceptable cost business model first appeared in the United States, and in most countries and regions have been rapid development, its strong viability is amazing. In the early stage of reform and opening up, the foreign chain management mode was introduced into our country, and with the innovation and development of many years, the business model of our country has formed the diversification form, which is mainly based on the chain management mode and supplemented by the traditional department store industry. However, there are still many problems in the rapid development of chain operation in our country: first, the chain operation is not on a scale, they are independent, and they will not cooperate; secondly, some chain operation enterprises are often unable to recognize the characteristics of their own business form. Market orientation and other scientific enterprise development plans make chain operation enterprises fall into different operating difficulties. Thirdly, the standardization degree of chain operation enterprises is not too high, and the standards are not very strict. Can not form an effective competitive advantage. At present, most of the researches on chain management in our country focus on economics and management, and the results from the normative perspective of law are rare. With the chain operation becoming the dominant mode of modern retailing under the market economy, new requirements such as standardization and unification appear in the management. Therefore, it is very urgent to analyze the restrictive competition behavior of chain operation in the relevant legal regulation level. The full text is divided into five parts. First of all, it summarizes the types and characteristics of restricted competition behavior of chain operation, secondly, analyzes the insufficiency of legal regulation of restricted competition behavior of chain operation in China. On the basis of the beneficial experience of foreign chain operation in restricting competition behavior, this paper puts forward some perfect suggestions on the legal regulation of restricted competition behavior in chain operation in our country. Including: on the basis of clear business property rights, reasonably define the restrictive competition behavior; strengthen the regulation of the means and methods of restricting competition in chain operation; strengthen the relevant special legislation, improve the legal system in this field; improve the law enforcement, judicial mechanism, Try to create a fair and orderly market environment.
