【摘要】：本文以2013年受到證監(jiān)會懲罰的8家財務造假上市公司(含擬上市)為基礎研究樣本,探析我國上市公司外部監(jiān)督機制的現狀及存在的問題。研究發(fā)現,自發(fā)監(jiān)督方即新聞媒體和證券維權律師對上市公司發(fā)揮了積極的監(jiān)督作用;在法定監(jiān)督中,證監(jiān)會及其派出機構起到了至關重要的作用,而證券交易所和證券服務機構的法定監(jiān)督責任執(zhí)行方面尚存在較大的改進空間。
[Abstract]:Based on eight financial fraud listed companies (including listed companies to be listed), which were punished by CSRC in 2013, this paper analyzes the current situation and existing problems of external supervision mechanism of listed companies in China. The study found that the spontaneous supervisor, that is, the news media and securities rights lawyers, has played an active role in supervising listed companies; in the statutory supervision, the CSRC and its local agencies have played a vital role. However, there is still room for improvement in the enforcement of statutory supervision responsibilities of stock exchanges and securities service institutions.
