【摘要】:現(xiàn)代市場經(jīng)濟(jì)是競爭型經(jīng)濟(jì),市場競爭是市場配置資源、推動整個社會經(jīng)濟(jì)發(fā)展的重要途徑。市場經(jīng)濟(jì)雖然是在民商法的秩序下形成,但基于市場競爭活動而產(chǎn)生的市場競爭關(guān)系,與傳統(tǒng)私法部門意義上的權(quán)利義務(wù)關(guān)系卻有著根本上的區(qū)別。市場競爭關(guān)系是參與市場競爭活動的經(jīng)營者之間的直接物質(zhì)利益關(guān)系,它的生成、性質(zhì)和特點(diǎn)符合法的調(diào)整對象的一般理論,更是競爭法能夠作為經(jīng)濟(jì)法的子部門法根本成立要素。市場經(jīng)濟(jì)也是權(quán)利經(jīng)濟(jì)。法律對社會關(guān)系的調(diào)整是通過對相關(guān)主體設(shè)置權(quán)利義務(wù)的方式來進(jìn)行的,競爭法要實(shí)現(xiàn)對市場經(jīng)營者之間的市場競爭關(guān)系的直接調(diào)整,也就必須確認(rèn)、設(shè)定經(jīng)營者在市場競爭中應(yīng)當(dāng)享有的權(quán)利和必須履行的義務(wù)。市場競爭權(quán)就是基于這種法律調(diào)整而應(yīng)當(dāng)被市場經(jīng)營者所享有的新型私法權(quán)利。這一權(quán)利概念的提出,既能有效彌補(bǔ)我國競爭法基礎(chǔ)理論研究的不足,更能夠解決當(dāng)前競爭法在實(shí)踐中遇到的諸多困境。市場競爭權(quán)是市場經(jīng)營者的一項基本權(quán)利,是市場經(jīng)營者除基于市場交易關(guān)系而享有的基本民事權(quán)利以外的、在市場競爭法律關(guān)系中所享有的另一項新型私法權(quán)利。它的主體是參與市場競爭活動的市場經(jīng)營者;客體是形成市場競爭關(guān)系的根本物質(zhì)因素,即市場競爭利益;它還包含了交易機(jī)會獲取權(quán)、交易份額平等分配權(quán)以及利潤份額實(shí)現(xiàn)權(quán)等三項基本權(quán)能。當(dāng)前,我國競爭法在對市場競爭權(quán)這一問題上的認(rèn)識還存在這較大不足,這亟需我們在競爭法體系內(nèi)對市場競爭權(quán)加以明確的界定,賦予市場經(jīng)營者以市場競爭權(quán),并借鑒國外的先進(jìn)經(jīng)驗(yàn)建立“非正當(dāng)競爭訴訟”司法保護(hù)制度,構(gòu)建完整的市場競爭權(quán)權(quán)利保障體系,這對從根本上維護(hù)市場競爭秩序和保障經(jīng)營者的合法權(quán)益有著重要意義。
[Abstract]:Modern market economy is a competitive economy, and market competition is an important way for the market to allocate resources and promote the development of the whole society and economy.Although the market economy is formed under the order of civil and commercial law, the relationship of market competition based on market competition activities is fundamentally different from the relationship between rights and obligations in the sense of traditional private law departments.The market competition relation is the direct material benefit relation between the operators who participate in the market competition activity. Its generation, nature and characteristics accord with the general theory of the adjusting object of the law.Moreover, competition law can be regarded as a fundamental element of economic law.Market economy is also power economy.The adjustment of social relations by law is carried out through the establishment of rights and obligations to the relevant subjects. If competition law is to realize the direct adjustment of the market competition relationship between market operators, it must also be confirmed.Set the operator's rights and obligations in the market competition.Market competition right is based on this kind of legal adjustment and should be enjoyed by market operators a new type of private law right.This concept of right can not only make up for the deficiency of the basic theory of competition law in China, but also solve the difficulties encountered in the practice of current competition law.The market competition right is a basic right of the market operator. It is another new private law right enjoyed by the market operator in the legal relationship of market competition besides the basic civil right which is based on the market transaction relationship.Its main body is the market operator who participates in the market competition, the object is the fundamental material factor that forms the market competition relation, that is, the market competition benefit, it also includes the right to obtain the trading opportunity.Transaction share equal distribution right and profit share realization right are three basic powers.At present, there are still some shortcomings in the understanding of the market competition right in our country's competition law. It is urgent for us to define the market competition right in the competition law system and give the market operator the market competition right.And draw lessons from the advanced experience of foreign countries to establish the judicial protection system of "unfair competition litigation" and construct a complete system of safeguarding the rights and interests of market competition, which is of great significance to maintain the order of market competition and safeguard the legitimate rights and interests of managers.
