我國(guó)影子銀行監(jiān)管法律制度研究

【摘要】:文章通過(guò)對(duì)影子銀行及其監(jiān)管進(jìn)行系統(tǒng)的研究,闡述我國(guó)當(dāng)前影子銀行的特征及主要存在形式,分析監(jiān)管的現(xiàn)狀及存在的主要問(wèn)題,為完善影子銀行的監(jiān)管提供一些參考性的建議。文章主要運(yùn)用了經(jīng)濟(jì)法學(xué)中的金融法理論和風(fēng)險(xiǎn)管理理論,并結(jié)合經(jīng)濟(jì)學(xué)中的監(jiān)管套利理論等多學(xué)科知識(shí),通過(guò)對(duì)中外文獻(xiàn)的系統(tǒng)性研究,運(yùn)用歷史分析和比較分析相結(jié)合的方法進(jìn)行剖析。文章的特點(diǎn)在于從政府監(jiān)管和行業(yè)內(nèi)控自律兩個(gè)視角出發(fā),從宏觀層面的監(jiān)管理念的確立、監(jiān)管模式的選取及監(jiān)管權(quán)限的設(shè)定引出微觀層面具體的監(jiān)管措施。經(jīng)過(guò)對(duì)境外影子銀行監(jiān)管實(shí)踐的經(jīng)驗(yàn)梳理、總結(jié)與對(duì)比分析,借鑒國(guó)外先進(jìn)理念,得出適合我國(guó)具體國(guó)情的影子銀行監(jiān)管方案,即我國(guó)應(yīng)逐步實(shí)現(xiàn)從分業(yè)監(jiān)管模式向統(tǒng)一監(jiān)管模式的轉(zhuǎn)變,完善宏觀審慎監(jiān)管制度,構(gòu)建金融消費(fèi)者權(quán)益保護(hù)制度,完善強(qiáng)化影子銀行的準(zhǔn)入退出、信息披露制度及內(nèi)控及行業(yè)自律機(jī)制,建立國(guó)際監(jiān)管協(xié)調(diào)合作機(jī)制,并完善金融業(yè)的法律建設(shè)。除引言和結(jié)語(yǔ)外,文章由以下四個(gè)部分組成:第一部分是關(guān)于影子銀行的概述,主要闡述了影子銀行的定義、基本特征、主要形式及對(duì)我國(guó)經(jīng)濟(jì)不利的影響,在肯定影子銀行存在的合理性以及必要性的同時(shí),我們更要要正視并積極應(yīng)對(duì)其存在的問(wèn)題和引發(fā)的負(fù)面效應(yīng)。第二部分從我國(guó)影子銀行的各種表現(xiàn)形式入手,闡述我國(guó)影子銀行法律監(jiān)管現(xiàn)狀,剖析其法律監(jiān)管中存在的問(wèn)題,包括監(jiān)管目標(biāo)界定不夠明確、忽視風(fēng)險(xiǎn)監(jiān)管、監(jiān)管不透明、信息披露機(jī)制不健全、內(nèi)控制度和行業(yè)自律制度薄弱、監(jiān)管協(xié)調(diào)性差、國(guó)際監(jiān)管合作不足及金融監(jiān)管法律體系不完善等。第三部分介紹境外影子銀行監(jiān)管實(shí)踐及啟示,主要介紹了美英、歐盟影子銀行監(jiān)管的主要措施和具有代表性的法案或指令,并進(jìn)行對(duì)比分析,找出我國(guó)可以借鑒之處,如以審慎監(jiān)管理念取代新自由主義、重視監(jiān)管協(xié)調(diào)和國(guó)際合作、擴(kuò)大監(jiān)管范圍、加強(qiáng)金融消費(fèi)者保護(hù)等。第四部分針對(duì)我國(guó)影子銀行監(jiān)管存在的問(wèn)題,結(jié)合境外先進(jìn)經(jīng)驗(yàn)的借鑒與我國(guó)具體國(guó)情,建議健全宏觀審慎監(jiān)管框架,以金融公平和金融安全的平衡的理念為指引,主張影子銀行的適度、協(xié)調(diào)監(jiān)管,從監(jiān)管理念確立、監(jiān)管模式選取和監(jiān)管權(quán)限設(shè)定等方面入手,提出一些具體的監(jiān)管措施建議。
[Abstract]:Based on the systematic study of shadow banking and its supervision, this paper expounds the characteristics and main existing forms of shadow banking in China, and analyzes the present situation and main problems of supervision.In order to improve the supervision of shadow banks to provide some reference suggestions.The article mainly uses the financial law theory and the risk management theory in the economic law, and combines the multi-disciplinary knowledge such as the regulatory arbitrage theory in the economics, through the systematic research to the Chinese and foreign literature.Use the method of historical analysis and comparative analysis to analyze.The characteristics of this paper are from the perspective of government supervision and industry internal control self-discipline, from the macro level of the establishment of the concept of supervision, the selection of regulatory models and the establishment of regulatory authority to lead to the micro level of specific regulatory measures.Through combing the experience of overseas shadow banking supervision practice, summarizing and contrasting analysis, drawing lessons from foreign advanced ideas, get the shadow banking supervision scheme suitable for our country's specific national conditions.That is, our country should gradually realize the transformation from the mode of separate supervision to the mode of unified supervision, perfect the macro-prudential supervision system, construct the system of protecting the rights and interests of financial consumers, perfect and strengthen the entrance and exit of shadow bank.Information disclosure system, internal control and industry self-discipline mechanism, establish international regulatory coordination and cooperation mechanism, and improve the legal construction of the financial industry.In addition to the introduction and conclusion, the article is composed of the following four parts: the first part is an overview of shadow banking, mainly describes the definition of shadow banking, basic characteristics, main forms and adverse effects on China's economy.While affirming the rationality and necessity of shadow banking, we should face up to its problems and deal with the negative effects.The second part starts with the various forms of the shadow banking in our country, expounds the present situation of the legal supervision of the shadow bank in our country, and analyzes the problems existing in the legal supervision of the shadow bank, including the definition of the supervision target is not clear enough, neglects the risk supervision, and the supervision is not transparent.The information disclosure mechanism is not perfect, the internal control system and the profession self-discipline system are weak, the supervision coordination is poor, the international supervision cooperation is insufficient, and the financial supervision legal system is not perfect, etc.The third part introduces the overseas shadow banking supervision practice and enlightenment, mainly introduces the main measures of shadow banking supervision in the United States, the United Kingdom, the European Union and the representative acts or directives, and makes a comparative analysis to find out what our country can use for reference.For example, we should replace neoliberalism with the idea of prudential supervision, attach importance to the coordination of supervision and international cooperation, expand the scope of supervision and strengthen the protection of financial consumers.In the fourth part, aiming at the existing problems of shadow banking supervision in our country, combining with the overseas advanced experience and the specific conditions of our country, the author suggests that the macro-prudential regulatory framework should be perfected and guided by the idea of balance between financial fairness and financial security.This paper advocates the moderate and coordinated supervision of shadow banking, starting with the establishment of supervision idea, the selection of supervision mode and the setting of supervision authority, and puts forward some concrete suggestions on supervision measures.
