江蘇企業(yè)海外投資的非商業(yè)風(fēng)險(xiǎn)及其法律應(yīng)對

【摘要】:傳統(tǒng)的非商業(yè)風(fēng)險(xiǎn)防范和應(yīng)對法律政策和措施已經(jīng)不能適應(yīng)現(xiàn)代企業(yè)進(jìn)行海外投資擴(kuò)展的需要。當(dāng)我國企業(yè)興致蓬勃地在海外市場擴(kuò)張時,政治動亂、經(jīng)濟(jì)失衡、恐怖襲擊、侵略戰(zhàn)爭、自然災(zāi)害、流行疾病和網(wǎng)絡(luò)黑客攻擊等非商業(yè)性風(fēng)險(xiǎn)的發(fā)生一次次致使我國海外投資企業(yè)遭受損失。江蘇作為我國的經(jīng)濟(jì)大省,在迎接海外投資不斷增長,企業(yè)“走出去”更加深入的同時,也因?yàn)閷@些非商業(yè)性風(fēng)險(xiǎn)的防范和應(yīng)對不足,致使江蘇海外投資企業(yè)可能損失慘重。值得我們注意的是,針對江蘇的海外投資非商業(yè)風(fēng)險(xiǎn)的研究遠(yuǎn)遠(yuǎn)滯后于海外投資的現(xiàn)狀,現(xiàn)行文獻(xiàn)和研究多停留在風(fēng)險(xiǎn)的現(xiàn)象描述和淺層的分析,對導(dǎo)致企業(yè)遇險(xiǎn)的深層原因和非商業(yè)風(fēng)險(xiǎn)應(yīng)當(dāng)如何控制缺乏深入的研究。非商業(yè)風(fēng)險(xiǎn)預(yù)警信息和法律管控的缺乏使得江蘇企業(yè)在進(jìn)行海外投資時具有盲目性和隨意性。盲目的預(yù)估市場和隨意的投資使江蘇企業(yè)在海外投資一旦遭受難以預(yù)料的風(fēng)險(xiǎn)時,變得無所適從。這不僅打擊了江蘇“走出去”企業(yè)的信心,也極大的制約江蘇經(jīng)濟(jì)的健康可持續(xù)發(fā)展。這一背景下,研究非商業(yè)性風(fēng)險(xiǎn)的防范和應(yīng)對對江蘇企業(yè)而言十分必要。本論文選用了數(shù)據(jù)分析法、案例研究法和跨學(xué)科研究法等方法進(jìn)行剖析。通過仔細(xì)分析大量數(shù)據(jù)來揭示出當(dāng)前江蘇對外進(jìn)行投資的基本特點(diǎn),新時代非商業(yè)風(fēng)險(xiǎn)對我江蘇企業(yè)海外投資的影響。同時,對我國和江蘇當(dāng)前關(guān)于海外投資非商業(yè)風(fēng)險(xiǎn)防范和應(yīng)對法律政策的進(jìn)行分析,發(fā)現(xiàn)其中的不足。以此為依據(jù),對海外投資非商業(yè)風(fēng)險(xiǎn)防范以及海外投資非商業(yè)風(fēng)險(xiǎn)保障制度的完善提出相關(guān)立法建議。最后,結(jié)合江蘇企業(yè)自身特點(diǎn),給出如何構(gòu)筑江蘇企業(yè)非商業(yè)管控系統(tǒng)的幾點(diǎn)建議。總的來說,只有完善海外投資相關(guān)立法,建立完整的非商業(yè)風(fēng)險(xiǎn)防范和應(yīng)對法律管控體系,才能更好為江蘇大小企業(yè)海外直接投資提供防范未來風(fēng)險(xiǎn)參考,協(xié)助海外投資能夠成功進(jìn)行,給江蘇企業(yè)海外投資可持續(xù)發(fā)展保駕護(hù)航。
[Abstract]:The traditional legal policies and measures to prevent and deal with non-commercial risks can no longer meet the needs of modern enterprises to expand their overseas investment. When Chinese enterprises expand vigorously in overseas markets, political turmoil, economic imbalance, terrorist attacks, The occurrence of non-commercial risks such as wars of aggression, natural disasters, epidemic diseases and cyber hacking has repeatedly caused losses to overseas investment enterprises in China. As a major economic province of China, Jiangsu is welcoming the continuous growth of overseas investment. As enterprises "go out" more deeply, but also because of inadequate prevention and response to these non-commercial risks, Jiangsu overseas investment enterprises may suffer heavy losses. What deserves our attention is that. The study of non-commercial risk of overseas investment in Jiangsu lags far behind the current situation of overseas investment. The current literature and research mostly focus on the phenomenon description and shallow analysis of risk. The deep reasons leading to the distress of enterprises and how to control non-commercial risks lack of in-depth study. The lack of early warning information and legal control of non-commercial risks makes Jiangsu enterprises have blindness and follow in making overseas investment. Willfulness. Blind estimates of the market and arbitrary investment make Jiangsu enterprises suffer unpredictable risks once they invest abroad, This has not only hit the confidence of Jiangsu's "going out" enterprises, but also greatly restricted the healthy and sustainable development of Jiangsu's economy. It is necessary for Jiangsu enterprises to study the prevention and response of non-commercial risk. Through careful analysis of a large number of data to reveal the basic characteristics of Jiangsu's foreign investment, the impact of non-commercial risks on the overseas investment of Jiangsu enterprises in the new era. At the same time, On the basis of the analysis of the current laws and policies of China and Jiangsu concerning the prevention and response to the non-commercial risks of overseas investment, we find that there are some shortcomings. This paper puts forward relevant legislative suggestions on the prevention of non-commercial risks in overseas investment and the perfection of the security system of non-commercial risks in overseas investment. Finally, considering the characteristics of Jiangsu enterprises, Some suggestions on how to construct a non-commercial management and control system for Jiangsu enterprises are given. In general, it is only necessary to perfect the relevant legislation on overseas investment and establish a complete legal control system for preventing and responding to non-commercial risks. Only in order to provide a better reference for Jiangsu enterprises overseas direct investment to prevent future risks, to assist overseas investment can be successfully carried out, and to ensure the sustainable development of Jiangsu enterprises overseas investment.
