【摘要】：我國(guó)法律對(duì)設(shè)立中公司的法律地位和民事責(zé)任承擔(dān)沒(méi)有明確規(guī)定,出現(xiàn)的法律爭(zhēng)議和糾紛無(wú)法有效解決。在立法上對(duì)設(shè)立中公司法律制度進(jìn)行完善,有利于更好地保護(hù)設(shè)立中公司及其交易相對(duì)人的合法權(quán)益,維護(hù)交易秩序,保證交易安全。
[Abstract]:The legal status and civil liability of the company under establishment are not clearly stipulated in the law of our country, and the legal disputes and disputes can not be solved effectively. It is beneficial to protect the legitimate rights and interests of the established company and its trading counterpart, to maintain the order of the transaction and to ensure the security of the transaction.
