【摘要】：除來自東道國政府的各種政治、法律和經(jīng)濟障礙之外,近年來中資企業(yè)在海外投資過程中也遭遇過大量非政府性障礙,其中,環(huán)境責(zé)任、勞工標(biāo)準(zhǔn)、文化保護、當(dāng)?shù)?經(jīng)濟貢獻(xiàn)"和正當(dāng)行政程序為其主要表現(xiàn)形式。東道國投資環(huán)境寬松、我國海外投資管理模式落后、中資企業(yè)逐利本性是產(chǎn)生非政府性障礙的主要原因。投資母國防范海外投資非政府性障礙風(fēng)險的關(guān)鍵在于系統(tǒng)和靈活運用國際與國內(nèi)兩套規(guī)則,注重法律保護,我國在新簽訂或修訂的雙邊或多邊投資協(xié)定中應(yīng)增加投資標(biāo)準(zhǔn)條款,督促東道國政府承擔(dān)保護的責(zé)任,并通過構(gòu)建企業(yè)海外信息披露制度,促使投資母國與當(dāng)?shù)孛癖姟⒎钦M織實行"共同管制",此外,還要激勵中資企業(yè)自覺遵守社會責(zé)任,進而在東道國樹立起負(fù)責(zé)任的中資企業(yè)形象。
[Abstract]:In addition to various political, legal and economic obstacles from the host government, in recent years, Chinese enterprises have also encountered a large number of non-governmental obstacles in the process of overseas investment, including environmental responsibility, labour standards, cultural protection, The local "economic contribution" and due administrative procedure are its main forms. The investment environment of the host country is relaxed, and the overseas investment management mode of our country is backward. The main reason for the non-government obstacle is the nature of the profit driven by the Chinese enterprises. The key to prevent the risk of the overseas investment non-governmental obstacle lies in the systematic and flexible application of the international and domestic rules, and the emphasis on legal protection. China should add investment standard clauses to the newly signed or revised bilateral or multilateral investment agreements, urge the host government to assume the responsibility of protection, and promote the investment home country and local people through the construction of enterprise overseas information disclosure system. In addition, non-governmental organizations should encourage Chinese enterprises to abide by their social responsibilities and establish a responsible image of Chinese enterprises in the host country.
