【摘要】：政府與社會資本合作模式(PPP)是公共服務(wù)領(lǐng)域改革的重要問題,但有關(guān)立法忽略了PPP模式中金融機構(gòu)的權(quán)益保障,特別是相關(guān)風(fēng)險防控體系的立法缺失。立法需要構(gòu)建針對PPP項目全過程的金融風(fēng)險控制模式,制定合理的政府與私人機構(gòu)風(fēng)險分擔(dān)原則,對SPV中的股東出資方義務(wù)進行限定,明確政府擔(dān)保與商業(yè)風(fēng)險承擔(dān)的界限,并通過構(gòu)建綜合金融服務(wù)體系和建立開發(fā)性金融制度化解潛在風(fēng)險。
[Abstract]:The model of cooperation between government and social capital is an important issue in the reform of public service, but the relevant legislation ignores the protection of the rights and interests of financial institutions in the PPP model. The legislation needs to construct the financial risk control model for the whole process of the PPP project, formulate reasonable risk sharing principle between the government and private organizations, and limit the obligations of the shareholders in the SPV, especially the lack of legislation on the related risk prevention and control system. The boundary between government guarantee and commercial risk assumption is clarified, and potential risks are resolved by constructing comprehensive financial service system and establishing developmental financial system.
