【摘要】：本文將對(duì)融資租賃下船舶所有權(quán)相關(guān)法律問題進(jìn)行整理分析,并對(duì)比分析現(xiàn)行融資租賃法律法規(guī)的沖突問題,尋求解決融資租賃物權(quán)法律問題的法律途徑。第1章首先界定船舶融資租賃的概念,分析船舶融資租賃的法律結(jié)構(gòu),并通過比較船舶融資租賃與其他船舶租賃模式總結(jié)船舶融資租賃的特征,并分析船舶所有權(quán)的權(quán)利要素,從立法角度分析船舶所有權(quán)的特殊性以及融資租賃角度分析船舶所有權(quán)的特殊性。第2章以不同船舶融資租賃模式為視角,分析不同模式下船舶所有權(quán)的取得方式,并以承租人與出租人為主體分析總結(jié)出融資租賃下船舶所有權(quán)取得的特殊性,再分析交付與登記這兩個(gè)事實(shí)行為對(duì)于融資租賃下船舶所有權(quán)取得的效力。第3章以不同船舶所有權(quán)理論為視角,分析融資租賃船舶所有權(quán)的性質(zhì),并經(jīng)過分析總結(jié)出融資租賃下船舶所有權(quán)的轉(zhuǎn)移,再?gòu)娜谫Y租賃性質(zhì)的認(rèn)定探究其交易性質(zhì)對(duì)船舶所有權(quán)轉(zhuǎn)移的影響,最后分析總結(jié)融資租賃下船舶所有權(quán)的轉(zhuǎn)移方式。第4章總結(jié)船舶所有權(quán)與其他船舶物權(quán)之間的相互作用和影響,分析其他船舶物權(quán)對(duì)船舶所有權(quán)實(shí)現(xiàn)的限制,對(duì)船舶所有權(quán)主體的應(yīng)對(duì)風(fēng)險(xiǎn)的選擇進(jìn)行法律分析。第5章分析我國(guó)現(xiàn)行法下船舶融資租賃登記現(xiàn)狀,現(xiàn)有船舶融資租賃登記的不足,并分析不合理的船舶融資租賃對(duì)船舶所有權(quán)的影響,基于現(xiàn)有融資租賃登記的不合理性所引發(fā)的法律問題。提出建立完善船舶融資登記制度的建議。
[Abstract]:This paper will sort out and analyze the legal issues related to the ownership of ships under the financing lease, and compare and analyze the conflicts between the laws and regulations of the current financial lease. Chapter 1 defines the concept of ship finance lease and analyzes the legal structure of ship finance lease. The characteristics of ship finance lease are summarized by comparing ship finance lease with other ship charter modes, and the right elements of ship ownership are analyzed. This paper analyzes the particularity of ship ownership from the angle of legislation and the particularity of ship ownership from the angle of financial lease. Chapter 2 takes different ship finance lease mode as the angle of view. This paper analyzes the acquisition methods of ship ownership under different modes and summarizes the particularity of the acquisition of ship ownership under financial lease with charterer and shipowner as the main body. Chapter 3 analyzes the nature of ship ownership under financial lease from the perspective of different ship ownership theories. And through the analysis of the transfer of ship ownership under financial leasing, and then from the nature of the financial lease to explore the nature of the transaction of the transfer of ship ownership. Chapter 4 summarizes the interaction and influence between ship ownership and other ship real right, and analyzes the limitation of other ship real right on the realization of ship ownership. Chapter 5 analyzes the current situation of ship financial lease registration under the current law of our country, and the deficiency of the existing ship finance lease registration. Based on the analysis of the influence of unreasonable ship finance lease on ship ownership and the legal problems caused by the irrationality of the existing financial lease registration, the paper puts forward some suggestions on how to establish and perfect the ship financing registration system.
