【摘要】：經(jīng)營者集中附加限制性條件主要分為結(jié)構(gòu)性條件和行為性條件,綜合性條件即二者的綜合使用。經(jīng)營者集中附條件批準(zhǔn)的實(shí)施要經(jīng)歷確定、實(shí)施和監(jiān)督執(zhí)行三個(gè)過程。有效性是附加限制性條件選擇的評(píng)估標(biāo)準(zhǔn)。從附加限制性條件類型的選擇上來看,大部分結(jié)構(gòu)性條件的選擇有效,部分行為性條件選擇的有效性存疑。從附加限制性條件反競(jìng)爭(zhēng)效應(yīng)的判定上看,商務(wù)部對(duì)單邊效應(yīng)、協(xié)同效應(yīng)和封鎖效應(yīng)的判定有待細(xì)化。從經(jīng)營者集中附條件批準(zhǔn)的執(zhí)行情況來看,結(jié)構(gòu)性條件的執(zhí)行情況較好,部分行為性條件的執(zhí)行存在成本高、風(fēng)險(xiǎn)高等問題,商務(wù)部對(duì)于是否適用監(jiān)督受托人態(tài)度并不明朗,域外執(zhí)行案件中只有部分案件得到了全部執(zhí)行。經(jīng)營者集中附條件批準(zhǔn)的完善需要謹(jǐn)慎選擇附加限制性條件類型、細(xì)化反競(jìng)爭(zhēng)效果評(píng)估以及加強(qiáng)案件的監(jiān)督和執(zhí)行。
[Abstract]:The additional restrictive conditions are mainly divided into structural conditions and behavioral conditions, comprehensive conditions, that is, the comprehensive use of both. Effectiveness is the evaluation criterion for the selection of additional restrictive conditions. From the perspective of the choice of the type of additional restrictive conditions, the choice of most structural conditions is effective. From the judgment of anti-competitive effect of additional restrictive conditions, the MOFCOM has unilateral effect. The decision of synergistic effect and blockade effect need to be refined. From the implementation of conditional approval of operator concentration, the implementation of structural conditions is good, and the implementation of some behavioral conditions has high cost. High risk issues, the Ministry of Commerce on whether to monitor the attitude of the trustee is not clear. Only part of the cases of extraterritorial enforcement have been fully implemented. The perfection of centralized conditional approval of operators requires careful selection of the type of additional restrictive conditions. Refine the evaluation of anti-competitive effect and strengthen the supervision and enforcement of cases.
