【摘要】：本文所說船舶買賣是指狹義上的船舶買賣,即二手船買賣。船舶的質(zhì)量如何,是二手船買賣的重要考量因素之一。而船舶買賣的質(zhì)量保證是指賣方根據(jù)法律或者合同的規(guī)定,所負(fù)擔(dān)的保證所交付船舶符合相應(yīng)質(zhì)量要求的義務(wù)。船舶買賣中賣方的質(zhì)量保證義務(wù)有兩個來源,一是法律的規(guī)定,二是合同的約定。涉外船舶買賣合同通常會選擇適用英國法,而英國法對質(zhì)量問題的認(rèn)定采取客觀標(biāo)準(zhǔn),與我國合同法所采取的主觀標(biāo)準(zhǔn)有所出入,這會導(dǎo)致不同的適用結(jié)果。實務(wù)中,船舶買賣合同多是以標(biāo)準(zhǔn)合同為模板,采用最多的是挪威船舶買賣標(biāo)準(zhǔn)格式,最新版本為2012年版,另外上海航運交易所也發(fā)布了自己的船舶買賣標(biāo)準(zhǔn)合同,而兩份標(biāo)準(zhǔn)合同對于船舶質(zhì)量保證的規(guī)定不盡相同。不過上海格式中規(guī)定的質(zhì)量保證條款是在挪威船舶買賣標(biāo)準(zhǔn)合同規(guī)定的基礎(chǔ)上修改而來,所以對后者的研究將有助于加強(qiáng)對前者的理解和修改。如果船舶未能達(dá)到質(zhì)量要求,則會帶來兩方面的影響。第一,根據(jù)船舶買賣合同,如果船舶不符合質(zhì)量要求,則買方可以通過拒絕賣方遞交的準(zhǔn)備就緒通知書來拒絕賣方交付船舶,不過這屬于賣方交船義務(wù)。第二,買方可以要求賣方承擔(dān)違反質(zhì)量保證的相應(yīng)責(zé)任。對于船舶買賣中賣方的質(zhì)量擔(dān)保責(zé)任,從責(zé)任承擔(dān)方式上來說,英國和我國法律的規(guī)定區(qū)別較大,在承擔(dān)方式的種類和優(yōu)先級方面都有很大差別,不過兩國法律對類似救濟(jì)方式的規(guī)定值得相互借鑒。而對于責(zé)任范圍的確定,特別是損害賠償范圍的計算,我國法律的規(guī)定不如英國法完善,不過從學(xué)理上來說,在相同的情況下所確定的責(zé)任范圍基本類似,不過細(xì)節(jié)上仍有不同。
[Abstract]:In this paper, we say that ship trading refers to the narrow sense of ship trading, that is, second-hand ship trading. What is the quality of the ship? Is one of the important considerations of second-hand ship trading. And the quality assurance of the ship sale refers to the seller according to the law or the provisions of the contract. The obligation to guarantee the delivery of the ship in accordance with the corresponding quality requirements. The seller's quality assurance obligations in the sale and purchase of ships have two sources, the first is the provisions of the law. The other is the agreement of the contract. The foreign ship sale contract usually chooses to apply the English law, but the English law adopts the objective standard to the quality question, which is different from the subjective standard adopted by the contract law of our country. This will lead to different applicable results. In practice, most of the ship trading contracts are based on standard contracts, the most used is the Norwegian standard format of ship trading, the latest version is the 2012 version. In addition, the Shanghai Shipping Exchange has also issued its own ship trading standard contract. The two standard contracts for ship quality assurance provisions are not the same, but the Shanghai format stipulated in the quality assurance clause is based on the Norwegian standard contract for the purchase and sale of ships from the basis of the amendment. Therefore, the research on the latter will help to strengthen the understanding and modification of the former. If the ship fails to meet the quality requirements, it will bring two aspects of impact. First, according to the ship purchase and sale contract. If the ship does not meet the quality requirements, the buyer may reject the seller's delivery of the ship by refusing the seller's delivery of the readiness notice, but this is the seller's obligation to deliver the ship. The buyer may require the seller to bear the corresponding liability for breach of quality assurance. The law of England and China have different provisions on the liability of the seller for the quality guarantee in the sale and purchase of ships from the point of view of the way of assuming the responsibility. There are significant differences in the types and priorities of the modes of responsibility, but the provisions of the laws of the two countries on similar relief modalities are worth drawing on from each other... and the determination of the scope of liability, in particular the calculation of the scope of damages. The provisions of our law are not as perfect as English law, but the scope of responsibility determined under the same circumstances is basically similar, but the details are still different.
