【摘要】：自2013年起,國務院開始在上海進行以“準入前國民待遇+負面清單”的外商投資管理體制先行試驗,而在2016年4月12日,經黨中央、國務院同意,《市場準入負面清單草案(試點版)》已正式發(fā)布,天津、上海、福建、廣東四個自由貿易試驗區(qū)將先行先試,目的是使市場準入負面清單與自貿區(qū)的負面清單兩者一起構成完整的市場準入管理體系,為在2018年起正式實行“實行統(tǒng)一的市場準入制度”。負面清單制度的推廣將對中國現行的外貿投資政策、法律制度、經濟制度產生巨大的影響,具體來說將影響到中國的貿易便利化、外資企業(yè)管理、中美BIT談判、自貿區(qū)建設、中國《外商投資法》出臺等相關方面,其基本內涵是對非歧視、市場化、貿易投資自由化、金融國際化以及行政法制化等。負面清單將作為基礎或核心形成統(tǒng)一的市場準入制度,判斷是否能夠進入市場的標準只有負面清單,而不區(qū)分是外資、國有資本、集體資本還是民間資本。負面清單制度并不是中國的首創(chuàng),在國際上已經有多邊和區(qū)域貿易協(xié)定中關于負面清單制度以及一些國家適用負面清單制度設計的國際經驗可以遵循。如GATS、NAFTA、MERCOSUR,以及美國、日韓和一些發(fā)展中國家對負面清單制度的制定和適用情況,其經驗制度設計以及優(yōu)秀經驗值得中國在設計負面清單時進行制度借鑒。并且,在中國外商投資準入制度之前是以正面清單的形式規(guī)定,而目前的負面清單制度則是通過新頒布的自貿區(qū)外商準入負面清單、負面清單草案(試點版)進行規(guī)定,銜接新舊法律的過渡以及與其他配套法律措施的銜接和協(xié)調沖突,解決負面清單執(zhí)行過程中可能存在的問題是本文應該注意的方向。負面清單制度是現階段的中國,面臨著內外復雜發(fā)展的新形勢以及逆全球化思潮和貿易保護主義抬頭的情況下,針對中國開始放緩的經濟增長的情況和尋找新的經濟增長點的目標下,提出來的一個擴大對外開放的重要外商投資準入制度。進一步改革市場準入管理制度,放開市場準入自由,減少行政干預,負面清單制度對轉變中國政府職能和吸引外商投資有重要作用。
[Abstract]:Since 2013, the State Council has been conducting a pilot study of the foreign investment management system in Shanghai with the "negative list of National treatment before admission", and in April 12th 2016, the CPC Central Committee. The State Council agreed that the draft negative list of Market access (pilot version) has been officially released, and that the four free trade pilot zones in Tianjin, Shanghai, Fujian and Guangdong will be tested first. The aim is to combine the negative market access list with the FTAs negative list to form a complete market access management system. In 2018, the promotion of the negative list system will have a great impact on China's current foreign trade investment policy, legal system and economic system. Specifically, it will affect China's trade facilitation, foreign enterprise management, Sino-US BIT negotiations, free trade zone construction, China's "Law on Foreign Investment" and other related aspects, its basic connotation is non-discrimination, marketization. Trade and investment liberalization, financial internationalization and administrative legalization. Negative lists will serve as the basis or core to form a unified market access system, and the criteria for judging market access are only negative lists. The negative list system is not the first in China, but it does not distinguish between foreign capital, state-owned capital, collective capital and private capital. There is already international experience in multilateral and regional trade agreements on the design of negative list regimes and the application of negative list regimes in some countries, such as GATS NAFTA. MERCOSURR, as well as the development and application of the negative list system in the United States, Japan and South Korea and some developing countries. Its experience system design and excellent experience are worthy of China in the design of negative lists for institutional reference. Moreover, before the entry system of foreign investment in China is a positive list of the form of provisions. And the current negative list system is through the newly promulgated FTAA foreign access negative list, negative list draft (pilot version) to regulate. The transition of new and old laws and conflicts with other supporting legal measures. To solve the possible problems in the implementation of the negative list is the direction this paper should pay attention to. The negative list system is China at the present stage. Facing the new situation of internal and external complex development and the rise of anti-globalization trend of thought and trade protectionism, in view of the economic growth that China began to slow down and the goal of finding new economic growth point. Further reform the market access management system, liberalize market access freedom, and reduce administrative interference. The negative list system plays an important role in transforming the functions of the Chinese government and attracting foreign investment.
