【摘要】：1996年修訂后的《礦產(chǎn)資源法》確定的有償取得與依法轉(zhuǎn)讓制度和2005年修訂后的《公司法》確定的一定條件的非貨幣財產(chǎn)出資制度為礦業(yè)權出資的研究提供了法律上的依據(jù),現(xiàn)實中對礦業(yè)權轉(zhuǎn)讓形式的積極探索也為礦業(yè)權出資提供了大量的實踐依據(jù)。礦業(yè)權出資作為一項新型的礦業(yè)權轉(zhuǎn)讓形式,是礦業(yè)權人實現(xiàn)其礦業(yè)權利最優(yōu)化的選擇。而礦業(yè)權出資也是市場經(jīng)濟對資源進行最優(yōu)配置的自主選擇,可以說,在《礦產(chǎn)資源法》和《公司法》中明確礦業(yè)權出資,完善礦業(yè)權出資的各項相關的法律制度,對礦業(yè)權人的權利、出資公司的權利、公司債權人的利益都能得到法律制度上的保護。 本文主要研究礦業(yè)權出資的法律問題,分四個部分。其中第一部分,對礦業(yè)權出資的相關基礎理論進行了概括;第二部分,從公司登記管理規(guī)定和礦業(yè)權取得、流轉(zhuǎn)制度兩方面對礦業(yè)權出資過程中存在的問題進行了闡述;第三部分,從民法和公司法的角度分析了上述存在的問題的原因;第四部分,提出了解決問題的相關制度建議,在完善礦業(yè)立法的同時,重點是國家工商行政管理總局要會同相關部門出臺具體的礦業(yè)權出資作為公司注冊資本登記的管理規(guī)定。
[Abstract]:The system of paid acquisition and transfer according to law established by the revised Mineral Resources Law in 1996 and the system of non-monetary property contribution under certain conditions determined by the revised Company Law in 2005 provide a legal basis for the study of the contribution of mining rights. In reality, the active exploration of the form of mining right transfer also provides a large number of practical basis for mining right investment. As a new type of mining right transfer form, mining right contribution is a new type of mining right transfer form. Mining right investment is also the independent choice for market economy to optimize the allocation of resources. It can be said that mining right contribution is clearly defined in the Mineral Resources Law and Company Law. To perfect the relevant legal system of mining right contribution, to protect the rights of mining rights owner, the rights of the contributing company and the interests of the creditors of the company can be protected by the legal system. This paper mainly studies the legal problems of mining right investment, which is divided into four parts. The first part summarizes the relevant basic theory of mining right investment. The second part, from the company registration management regulations and mining rights, In the third part, the author analyzes the reasons of the above problems from the angle of civil law and company law; part 4th, puts forward the relevant system suggestions to solve the problem, in the third part, analyzes the reasons of the above problems from the angle of the civil law and the company law. While perfecting the mining legislation, the key point is that the State Administration for Industry and Commerce shall, together with the relevant departments, issue specific regulations on the management of mining right investment as the registered capital registration of the company.
