關(guān)于競(jìng)業(yè)禁止補(bǔ)償金制度案例研究

【摘要】:企業(yè)為保護(hù)商業(yè)秘密,需要限制或禁止勞動(dòng)者“跳槽”,但勞動(dòng)者的就業(yè)自由權(quán)和擇業(yè)自由權(quán)是我國(guó)憲法和勞動(dòng)法的規(guī)定,兩者之間存在一定的利益沖突,這就需要?jiǎng)趧?dòng)法律和商業(yè)秘密法共同努力在不同利益之間尋找最佳平衡點(diǎn),以形成利益平衡機(jī)制。而科學(xué)合理的競(jìng)業(yè)禁止制度,正是該利益平衡機(jī)制的核心。我國(guó)法律從不同角度對(duì)競(jìng)業(yè)禁止做出規(guī)定,包括《公司法》、《反不正當(dāng)競(jìng)爭(zhēng)法》、《勞動(dòng)合同法》,甚至《刑法》都有相關(guān)的規(guī)定。 而在競(jìng)業(yè)禁止制度的框架中,作為競(jìng)業(yè)禁止協(xié)議的一個(gè)重要環(huán)節(jié),競(jìng)業(yè)禁止補(bǔ)償金的規(guī)定對(duì)于平衡勞動(dòng)者和企業(yè)之間的利益沖突發(fā)揮著非常重要的作用。同時(shí),對(duì)于競(jìng)業(yè)禁止補(bǔ)償金的效力、數(shù)額與支付方法在實(shí)踐中又往往存在很多的不確定與爭(zhēng)議。因此,對(duì)于競(jìng)業(yè)禁止補(bǔ)償金制度的相關(guān)問題的研究,無論是在理論上還是實(shí)踐上都有相當(dāng)重要的意義。 本文從三個(gè)典型案例入手,結(jié)合相關(guān)法律、法規(guī),以及國(guó)內(nèi)外的司法實(shí)踐對(duì)我國(guó)競(jìng)業(yè)禁止補(bǔ)償金的效力、數(shù)額與支付方法這些問題進(jìn)行了探討,在解析我國(guó)相關(guān)法律制度和實(shí)踐方面不足的同時(shí),提出個(gè)人的一些合理化建議。
[Abstract]:In order to protect trade secrets, enterprises need to restrict or prohibit workers from "changing jobs". However, the right to freedom of employment and the right to choose a job are the provisions of the Constitution and labor law of our country. There is a certain conflict of interest between the two, which requires the labor law and trade secret law to work together to find the best balance between different interests in order to form the balance mechanism of interests. The scientific and reasonable prohibition system of competition is the core of the interest balance mechanism. The laws of our country stipulate the prohibition of competition from different angles, including the Company Law, the Anti-unfair Competition Law, the Labor contract Law and even the Criminal Law. In the framework of the system of prohibition of competition, as an important link of the agreement of prohibition of competition, the stipulation of compensation for prohibition of competition plays a very important role in balancing the conflict of interests between workers and enterprises. At the same time, there are often many uncertainties and disputes between the amount and the payment method for the effectiveness of the non-competition compensation. Therefore, the study of the compensation system of non-competition is of great significance both in theory and in practice. Starting with three typical cases, combined with relevant laws and regulations, as well as judicial practice at home and abroad, this paper probes into the effectiveness, amount and payment methods of compensation for non-competition in our country, and puts forward some reasonable suggestions for individuals while analyzing the shortcomings of the relevant legal systems and practices in our country.
