關于競業(yè)禁止補償金制度案例研究

【摘要】:企業(yè)為保護商業(yè)秘密,需要限制或禁止勞動者“跳槽”,但勞動者的就業(yè)自由權和擇業(yè)自由權是我國憲法和勞動法的規(guī)定,兩者之間存在一定的利益沖突,這就需要勞動法律和商業(yè)秘密法共同努力在不同利益之間尋找最佳平衡點,以形成利益平衡機制。而科學合理的競業(yè)禁止制度,正是該利益平衡機制的核心。我國法律從不同角度對競業(yè)禁止做出規(guī)定,包括《公司法》、《反不正當競爭法》、《勞動合同法》,甚至《刑法》都有相關的規(guī)定。 而在競業(yè)禁止制度的框架中,作為競業(yè)禁止協(xié)議的一個重要環(huán)節(jié),競業(yè)禁止補償金的規(guī)定對于平衡勞動者和企業(yè)之間的利益沖突發(fā)揮著非常重要的作用。同時,對于競業(yè)禁止補償金的效力、數額與支付方法在實踐中又往往存在很多的不確定與爭議。因此,對于競業(yè)禁止補償金制度的相關問題的研究,無論是在理論上還是實踐上都有相當重要的意義。 本文從三個典型案例入手,結合相關法律、法規(guī),以及國內外的司法實踐對我國競業(yè)禁止補償金的效力、數額與支付方法這些問題進行了探討,在解析我國相關法律制度和實踐方面不足的同時,提出個人的一些合理化建議。
[Abstract]:In order to protect trade secrets, enterprises need to restrict or prohibit workers from "changing jobs". However, the right to freedom of employment and the right to choose a job are the provisions of the Constitution and labor law of our country. There is a certain conflict of interest between the two, which requires the labor law and trade secret law to work together to find the best balance between different interests in order to form the balance mechanism of interests. The scientific and reasonable prohibition system of competition is the core of the interest balance mechanism. The laws of our country stipulate the prohibition of competition from different angles, including the Company Law, the Anti-unfair Competition Law, the Labor contract Law and even the Criminal Law. In the framework of the system of prohibition of competition, as an important link of the agreement of prohibition of competition, the stipulation of compensation for prohibition of competition plays a very important role in balancing the conflict of interests between workers and enterprises. At the same time, there are often many uncertainties and disputes between the amount and the payment method for the effectiveness of the non-competition compensation. Therefore, the study of the compensation system of non-competition is of great significance both in theory and in practice. Starting with three typical cases, combined with relevant laws and regulations, as well as judicial practice at home and abroad, this paper probes into the effectiveness, amount and payment methods of compensation for non-competition in our country, and puts forward some reasonable suggestions for individuals while analyzing the shortcomings of the relevant legal systems and practices in our country.
