【摘要】：正 公司制是企業(yè)制度中的一種,即公司法人制度。與獨資企業(yè)和合伙企業(yè)不同,公司是依法定程序設立,以營利為目的的具有法人資格的企業(yè),它有自己獨立的財產,可以而且必須獨立承擔經濟責任,同時享有相應的民事權利。在西方多數國家,公司法規(guī)定必須有兩個以上的出資人(包括自然人和法人)方能組建公司,但是也有少數國家允許特定情況下一人公司的存在。從黨的十四屆三中全會的《決定》看,我國今后將把單一投資主體的國家獨資公司,作為公司企業(yè)的一種形式。世界多數國家的公司法,根據股東和公司責任的不同,一般把公司分為四種:
[Abstract]:The positive company system is a kind of enterprise system, that is, the company legal person system. Different from sole proprietorship and partnership, the company is an enterprise with legal personality established in accordance with legal procedures and for the purpose of profit. It has its own independent property, can and must bear economic responsibility independently, and enjoy the corresponding civil rights at the same time. In most western countries, corporate law requires more than two investors (including natural and legal persons) to form a company, but a small number of countries allow the existence of a one-person company under specific circumstances. From the decision of the third Plenary session of the 14th CPC Central Committee, China will regard the state-owned company with a single investment subject as a form of corporate enterprises in the future. The company law of most countries in the world generally divides the company into four categories according to the difference between shareholders and corporate responsibility:
