【摘要】：美國統(tǒng)一有限責任公司法(ULLCA)融合了公司與合伙的優(yōu)點,具有公司設立自由化、公司治理自治化、利益分配彈性化、法律條款任意化的特征。本文將其與我國新公司法進行對比分析,總結(jié)出我國新公司法存在的不足之處。
[Abstract]:The unified limited liability company law (ULLCA) of the United States combines the advantages of company and partnership, and has the characteristics of liberalization of company establishment, autonomy of corporate governance, flexible distribution of interests and arbitrariness of legal provisions. This paper compares it with the new company law of our country, and summarizes the shortcomings of the new company law of our country.
