【摘要】：現(xiàn)代各國(guó)的公司法,都為這樣的滌除機(jī)制設(shè)置了一系列的要求,如董事的披露義務(wù),利害關(guān)系董事的回避義務(wù)等,甚至英美法上,還規(guī)定了實(shí)質(zhì)性的標(biāo)準(zhǔn)——公正,這也是司法審查的標(biāo)準(zhǔn)。本文試圖通過對(duì)公司董事忠實(shí)義務(wù)的滌除機(jī)制的存在前提、其批準(zhǔn)和認(rèn)可機(jī)關(guān)以及對(duì)公平的要求的闡述,試圖實(shí)現(xiàn)對(duì)公司董事忠實(shí)義務(wù)滌除機(jī)制的深入研究和探討,其中運(yùn)用到比較的方法,以期能夠在不同國(guó)家相關(guān)法律的比較中獲得有益的借鑒。
[Abstract]:The company law of modern countries has set up a series of requirements for such a cleaning mechanism, such as the disclosure obligation of directors, the avoidance obligation of interested directors, and even in Anglo-American law, it also stipulates the substantive standard-fairness, which is also the standard of judicial review. This paper attempts to realize the in-depth study and discussion of the cleanup mechanism of the faithful obligation of the directors of the company through the premise of the existence of the cleaning mechanism of the faithful obligation of the directors of the company, its approval and approval organs and the requirements of fairness, and tries to realize the in-depth study and discussion of the mechanism of the cleanup of the faithful obligations of the directors of the company, in order to obtain useful reference in the comparison of the relevant laws of different countries.
