【摘要】：正 現(xiàn)發(fā)布《上市公司收購管理辦法》,自2002年12月1日起施行。2002年9月28日第一章總則第一條為規(guī)范上市公司收購活動,促進(jìn)證券市場資源的優(yōu)化配置,保護(hù)投資者的合法權(quán)益,維護(hù)證券市場的正常秩序,根據(jù)《公司法》、《證券法》及其他法律和相關(guān)行政法規(guī),制定本辦法。第二條本辦法所稱上市公司收購,是指收購人通過在證券交易所的股份轉(zhuǎn)讓活動持有一個上市公司的股份達(dá)到一定比例、通過證券交易所股份轉(zhuǎn)讓活動以外的其他合法途徑控制一個上市公司的股份達(dá)到一定程度,導(dǎo)致其獲得或者可能獲得對該公司的實際控制權(quán)的行為。第三條收購人可以通過協(xié)議收購、要約收購或者證券交易所的集中競價交易方式進(jìn)行上市公司收購,獲得對一個上
[Abstract]:The measures for the Administration of acquisitions of listed companies are being promulgated as of December 1, 2002. Chapter I, General provisions, Article 1 of September 28, 2002, aims at standardizing the acquisition activities of listed companies and promoting the optimal allocation of resources in the securities market. To protect the legitimate rights and interests of investors and maintain the normal order of the securities market, these measures shall be formulated in accordance with the Company Law, the Securities Law and other laws and regulations and relevant administrative regulations. Article 2 the term "acquisition of a listed company" as mentioned in these measures means that the acquirer holds a certain proportion of the shares of a listed company through the transfer of shares on the stock exchange. The act of controlling the shares of a listed company to a certain extent through other legal means other than the stock transfer activities of the stock exchange, resulting in the acquisition or possible acquisition of actual control over the company. Article 3 the acquirer may acquire a listed company by means of agreement acquisition, tender offer or centralized bidding transaction of the stock exchange, and the acquisition of a listed company may be made by means of an agreement, an offer, or a centralized bidding transaction of a stock exchange.
