【摘要】：債轉股作為處置銀行不良資產(chǎn)的措施,可化解金融風險和推動國企改革。但債轉股存在道德風險、投資風險以及金融資產(chǎn)管理公司股權運作的風險,能否實現(xiàn)預期目的尚存在較大的變數(shù)。同時債轉股還存在著各種法律缺陷,如規(guī)避《銀行法》以及與《公司法》有關條款的矛盾等。
[Abstract]:As a measure to dispose of non-performing assets of banks, debt-to-equity swap can resolve financial risks and promote the reform of state-owned enterprises. However, there are moral hazard, investment risk and the risk of equity operation of financial asset management companies, and there are still great variables whether the expected purpose can be achieved. At the same time, there are still various legal defects in debt-to-equity swap, such as circumventing the Banking Law and contradictions with the relevant provisions of the Company Law.
