【摘要】：公司設(shè)立瑕疵是公司法實(shí)踐中的常見(jiàn)現(xiàn)象,各國(guó)或地區(qū)對(duì)瑕疵公司的救濟(jì)機(jī)制有公司法人格維持機(jī)制、否認(rèn)機(jī)制和擴(kuò)張機(jī)制。在這三種機(jī)制中,擴(kuò)張機(jī)制對(duì)我國(guó)而言,法律成本是最高的;維持機(jī)制的立法成本和實(shí)施成本都小于否認(rèn)機(jī)制,但維持機(jī)制的社會(huì)成本也不容忽視,因此,我國(guó)應(yīng)實(shí)行以維持機(jī)制為主、否認(rèn)機(jī)制為輔的"雙軌制",并明確否認(rèn)機(jī)制實(shí)行的瑕疵范圍。
[Abstract]:The defect of company establishment is a common phenomenon in the practice of company law. The relief mechanism of defective company in various countries or regions includes company law personality maintenance mechanism, denial mechanism and expansion mechanism. Among these three mechanisms, the legal cost of expansion mechanism is the highest for our country. The legislative cost and implementation cost of the maintenance mechanism are less than the denial mechanism, but the social cost of the maintenance mechanism can not be ignored. Therefore, our country should implement the "two-track system", which is mainly based on the maintenance mechanism and supplemented by the denial mechanism. And clearly deny the scope of defects in the implementation of the mechanism.
