【摘要】：公司法規(guī)定的清算程序是公司主體依法有序退出市場(chǎng)的最后路徑,是促進(jìn)市場(chǎng)資源優(yōu)化配置、實(shí)現(xiàn)產(chǎn)業(yè)結(jié)構(gòu)轉(zhuǎn)型升級(jí)的重要方式。課題組在實(shí)際調(diào)研中發(fā)現(xiàn),清算程序司法適用中存在審理周期普遍較長(zhǎng)、程序"空轉(zhuǎn)"、清算制度的價(jià)值認(rèn)識(shí)不清以及市場(chǎng)主體退出遭遇"最后一公里"現(xiàn)象等問題。為此,建議建立簡(jiǎn)易破產(chǎn)清算程序,加快清算程序?qū)徖磉M(jìn)度;深化清算程序的理解與適用,解決清算程序"空轉(zhuǎn)"問題;優(yōu)化管理人選任、激勵(lì)與考核機(jī)制,發(fā)揮管理人制度效用;建立規(guī)范市場(chǎng)主體退出配套機(jī)制,理順清算企業(yè)注銷登記通道;加大引導(dǎo)、督促企業(yè)自行清算力度,根本上解決"植物人"公司問題等五項(xiàng)建議,以期完善公司清算程序。
[Abstract]:The liquidation procedure stipulated by the company law is the final way for the company subject to withdraw from the market in an orderly manner according to law. It is an important way to promote the optimal allocation of market resources and realize the transformation and upgrading of the industrial structure. The research group found that the judicial application of liquidation procedure has some problems, such as long trial cycle, "empty process", unclear recognition of the value of liquidation system, and the phenomenon of "last kilometer" in the withdrawal of the main body of the market. Therefore, it is suggested to establish a simple liquidation procedure, speed up the progress of the liquidation procedure, deepen the understanding and application of the liquidation procedure, and solve the problem of "idling" in the liquidation procedure. Optimize the selection and appointment of managers, encourage and assess the mechanism, give full play to the effectiveness of the management system, set up a standardized market subject exit matching mechanism, straighten out the cancellation of registration channels of liquidation enterprises; Step up guidance, urge enterprises to liquidate themselves, fundamentally solve the "vegetable" company problems and other five suggestions, in order to improve the liquidation process of the company.
