【摘要】：在實(shí)行內(nèi)、外資統(tǒng)一立法的呼聲日益高漲和按世貿(mào)組織協(xié)議重構(gòu)我國(guó)外資法的大背景下,廢棄20世紀(jì)80年代以來(lái)的各種所有制企業(yè)組織法,內(nèi)、外資企業(yè)組織形式統(tǒng)一適用《公司法》、《合伙企業(yè)法》和《獨(dú)資企業(yè)法》已是大勢(shì)所趨。本文正立足于此,對(duì)統(tǒng)一現(xiàn)行《公司法》和《外商投資企業(yè)法》必須解決的若干問(wèn)題作深入探討,以求對(duì)當(dāng)前修改《公司法》和重構(gòu)外資法的立法工作有所裨益。
[Abstract]:Under the background of the implementation of the unified legislation on foreign investment and the reconstruction of China's foreign investment law in accordance with the WTO agreement, the organic law of various forms of ownership of enterprises since the 1980s has been abandoned. The corporation law, partnership law and sole proprietorship law are the general trend. This article is based on this, to unify the current "Company Law" and "Law on Enterprises with Foreign Investment" must be solved in depth to explore a number of issues, in order to amend the current "Company Law" and the reconstruction of the foreign investment law of the legislative work has some benefits.
