【摘要】：正公司監(jiān)事會(huì)制度是公司法人治理結(jié)構(gòu)的重要組成部分,是公司各職權(quán)部門分權(quán)制衡的必然選擇。我國現(xiàn)行公司法是自2006年1月1日起施行,整體看來,現(xiàn)行公司法與舊的公司制度相比,取得了飛躍性的進(jìn)步,但在監(jiān)事會(huì)制度建設(shè)方面尚需進(jìn)一步完善。我國監(jiān)事會(huì)制度是在參照德國監(jiān)事會(huì)模式和日本監(jiān)事會(huì)模式的基礎(chǔ)上
[Abstract]:The board of supervisors system is an important part of the corporate governance structure, and is the inevitable choice of the power division of the company. The current company law of our country has been put into effect since January 1, 2006. On the whole, compared with the old company system, the current company law has made great progress, but the construction of the board of supervisors system still needs to be further improved. The system of the board of supervisors in China is based on the model of the board of supervisors in Germany and the mode of the board of supervisors in Japan.
