【摘要】：資本出資人既是公司的所有者,也是公司事務(wù)的管理者、監(jiān)督者和公司利益的享有者;職工作為公司的雇傭者在公司法上毫無地位,只是提供勞動的客體。這就是資本絕對的公司法理念。但隨著近來勞資關(guān)系的平衡和對勞動地位的認(rèn)知,職工逐漸成為公司法上的主體:他們不僅可以了解公司經(jīng)營狀況,還可以參與公司決策和分享公司利益。由是,形成了與資本絕對公司理念相對的人本公司法觀念,直接影響著現(xiàn)代各國公司治理的法律結(jié)構(gòu)。
[Abstract]:The capital contributor is not only the owner of the company, but also the manager of the company affairs, the supervisor and the owner of the interests of the company; the employee, as the employee of the company, has no position in the company law, but only provides the object of labor. This is the absolute concept of capital company law. However, with the balance of labor relations and the cognition of labor status, workers and staff members have gradually become the main body of company law: they can not only understand the operating situation of the company, but also participate in the decision-making and share the benefits of the company. Therefore, the humanistic company law concept, which is opposite to the absolute capital company concept, has a direct impact on the legal structure of corporate governance in modern countries.
