公司法人格否認法律問題實證分析

【摘要】:本文在充分研究我國司法實踐的基礎上,對公司法人格否認制度在我國的適用進行探討,進而提出一些建議,以期有所幫助。 正文分四個部分進行論述。第一章,主要對公司法人格否認制度的概述。公司法人格否認制度是為實現(xiàn)對公司債權人利益的保護而設立的,是對公司人格獨立制度的補充完善,目的在于保證立法的真正公平、正義。我國目前對公司法人格否認制度的理論探討已經(jīng)頗為成熟。首先,在相關概念上基本統(tǒng)一,如對公司法人格否認制度的概念普遍采用朱慈蘊的提法;其次,對公司法人格否認制度的判斷總結出一套標準,主要從主體、行為、結果三個方面來進行判斷其是否能適用。 第二章,主要對篩選出的案例進行分析,歸納出問題,主要有以下三個方面:(一)直接以新《公司法》第20條審判起訴的案件在減少;(二)以公司法人形式規(guī)避合同義務的情形居多;(三)裁判依據(jù)多樣化;(四)責任形式不統(tǒng)一。 第三章,對案例分析中出現(xiàn)的問題結合理論研究進行探討,通過分析得出問題的原因。直接以公司法人格否認制度審判起訴的案件少是因為:首先,我國新《公司法》關于公司法人格否認制度的規(guī)定是原則性的,缺乏可操作性;其次,公司法人格否認制度適用的例外性;最后,法律中對相關行為已有明確的規(guī)定。而理論研究重點與司法實踐情形不一致的主要原因是:我國公司法人格否認制度沒有從我國實際國情出發(fā),理論研究多借鑒國外判例,,且理論研究具有滯后性。 第四章,針對上述問題,結合分析結果從審判實務和理論研究兩方面提出相關建議。
[Abstract]:Based on the full study of judicial practice in our country, this paper probes into the application of the system of disavowal of corporate personality in our country, and then puts forward some suggestions in order to be helpful. The text is divided into four parts. The first chapter is a summary of the denial system of corporate personality. The system of corporate personality denial is set up to protect the interests of the creditors of the company and complement and perfect the independent system of corporate personality in order to ensure the real fairness and justice of the legislation. At present, the theoretical discussion on the system of corporate personality denial in our country is quite mature. First of all, the concept of basic unity in the relevant concepts, such as corporate personality denial system generally used the concept of Zhu Ciyun; Secondly, it sums up a set of criteria for judging the denial of corporate personality, mainly from three aspects: subject, behavior and result. The second chapter mainly analyzes the selected cases and concludes the problems as follows: (1) the number of cases prosecuted directly under Article 20 of the New Company Law is decreasing; (2) the majority of cases are circumventing contractual obligations in the form of corporate legal persons; (3) the basis of adjudication is diversified; (4) the form of liability is not uniform. In the third chapter, the problems in case analysis are discussed in combination with theoretical research, and the causes of the problems are obtained. There are few cases to be prosecuted directly by the system of denial of corporate personality because: first, the provisions of the new Company Law on the system of denial of corporate personality are principled and lack of maneuverability; Secondly, the exception of the application of the corporate personality denial system; finally, there are clear provisions on relevant acts in the law. The main reasons why the focus of theoretical research and judicial practice are inconsistent are that the system of denying the personality of corporate law in our country does not proceed from the actual situation of our country, and the theoretical research draws on foreign cases, and the theoretical research is lagging behind. The fourth chapter, according to the above questions, combined with the analysis of the results from the trial practice and theoretical research two aspects of the relevant recommendations.
