【摘要】：盡職調(diào)查是并購交易實務(wù)中的重要環(huán)節(jié)。本文首先對盡職調(diào)查的淵源及其在并購交易中的具體應(yīng)用做了介紹,然后分別從買賣法和公司法角度探討了相關(guān)的法律責任問題。
[Abstract]:Due diligence is an important link in M & A practice. This paper first introduces the origin of due diligence and its application in M & A transactions, and then discusses the related legal liability issues from the perspective of the law of sale and purchase and the company law.
