【摘要】：主要對(duì)臺(tái)灣公開(kāi)發(fā)行公司出席股東會(huì)使用委托書(shū)征求人的資格 ,及其代理股數(shù)限制的規(guī)定加以探討 ,分別就委托書(shū)的積極功能、臺(tái)灣公司中現(xiàn)任董事與中小股東間的關(guān)系、臺(tái)灣證券法是否應(yīng)對(duì)委托書(shū)征求進(jìn)行更為嚴(yán)格的規(guī)定及其價(jià)值取向等方面問(wèn)題加以探討 ,以期對(duì)我國(guó)的《公司法》與《證券法》有所借鑒。
[Abstract]:This paper mainly discusses the qualifications of the solicitors for the Taiwan public offering company attending the shareholders' meeting and the provisions on the limit of the number of proxy shares, and respectively discusses the positive functions of the proxy letter and the relationship between the current directors and the minority shareholders in the Taiwan company. In order to draw lessons from the Company Law and the Securities Law of China, the Taiwan Securities Law should make more strict regulations on the solicitation of power of attorney and its value orientation.
