【摘要】：在知識(shí)經(jīng)濟(jì)時(shí)代,技術(shù)的資本化在促進(jìn)公司發(fā)展的同時(shí),也極大地促進(jìn)了科技進(jìn)步的產(chǎn)業(yè)化進(jìn)程。技術(shù)入股所形成之技術(shù)股權(quán),在資本組成與價(jià)值認(rèn)定上與貨幣、實(shí)物等傳統(tǒng)出資形式有很大差異,并進(jìn)而導(dǎo)致在技術(shù)股權(quán)轉(zhuǎn)讓中存在一系列問題。從技術(shù)股權(quán)轉(zhuǎn)讓的立法理念、價(jià)值選擇、估價(jià)體系及股東權(quán)利保障等方面入手,結(jié)合《公司法》第72條之規(guī)定,從權(quán)利分配與程序優(yōu)化角度提出技術(shù)股權(quán)轉(zhuǎn)讓的價(jià)值重構(gòu)與路徑優(yōu)化。
[Abstract]:In the era of knowledge economy, the capitalization of technology not only promotes the development of the company, but also greatly promotes the industrialization process of scientific and technological progress. The technical equity formed by the technology equity is quite different from the traditional forms of capital contribution such as currency and material object in capital composition and value recognition, which leads to a series of problems in the transfer of technology equity. From the aspects of legislation idea, value choice, valuation system and shareholder right guarantee of technology equity transfer, the article 72 of Company Law provides, This paper puts forward the value reconstruction and path optimization of technology equity transfer from the perspective of rights allocation and procedure optimization.
