【摘要】：學(xué)術(shù)界和司法機關(guān)對中國《公司法》第43條規(guī)定的股東按出資比例行使表決權(quán)都存在著不同的理解。鑒于股東在股東會會議中行使表決權(quán)關(guān)乎公司的經(jīng)營和股東權(quán)益的保護,正確理解《公司法》第43條規(guī)定的"出資比例"十分必要。該文歸納了理論界對"出資比例"的不同觀點,從相關(guān)法理的角度對《公司法》第43條的"出資比例"進行了學(xué)理解釋,并指出,除非公司章程另有規(guī)定,應(yīng)將"出資比例"理解為股東認(rèn)繳的出資比例。
[Abstract]:The academic circles and the judicial organs have different understandings of the shareholders' voting rights according to the proportion of capital contribution stipulated in Article 43 of the Company Law of China. In view of the fact that the shareholders' voting right in the shareholders' meeting is related to the management of the company and the protection of the shareholders' rights and interests, it is necessary to correctly understand the "capital contribution ratio" stipulated in Article 43 of the Company Law. This paper summarizes the different viewpoints of the theoretical circle on the proportion of capital contribution, explains the "proportion of capital contribution" in Article 43 of the Company Law from the angle of relevant legal theory, and points out that unless the articles of association stipulate otherwise, The proportion of capital contribution should be understood as the proportion of contributions subscribed by shareholders.
