【摘要】：有限責(zé)任公司股權(quán)繼承問題是公司法的重要問題之一。有限責(zé)任公司作為公司的一種形式，除具備公司的一般特征外，還有其自身的特點,它同時具備資合性與人合性，因此有限責(zé)任公司的股權(quán)繼承既區(qū)別于股份有限公司股權(quán)繼承，，也與普通類型的財產(chǎn)繼承不同。由于有限責(zé)任公司股權(quán)繼承涉及多方面的利益協(xié)調(diào)，同時，我國《公司法》第七十六條關(guān)于有限責(zé)任公司股權(quán)繼承問題的規(guī)定過于抽象而不夠具體，這給有限責(zé)任公司股權(quán)繼承的理論研究和實際操作帶來了困難。本文立足于我國《公司法》關(guān)于有限責(zé)任公司股權(quán)繼承問題的立法現(xiàn)狀，比較分析了我國《公司法》和《繼承法》的相關(guān)法條以及國內(nèi)外法律法規(guī)關(guān)于股權(quán)繼承問題的相關(guān)內(nèi)容，結(jié)合我國學(xué)者在有限責(zé)任公司股權(quán)繼承問題上的不同學(xué)說，在進(jìn)行深入分析和研究的基礎(chǔ)上，提出了一些建設(shè)性的意見，希望對于今后我國公司立法有所幫助。 本文首先探討了有限責(zé)任公司股權(quán)的可繼承性。本部分先是確立了股權(quán)的概念，而后分析了股權(quán)的性質(zhì)，在對國內(nèi)學(xué)者關(guān)于有限責(zé)任公司股權(quán)繼承問題學(xué)說詳細(xì)研究和深入分析的基礎(chǔ)上，提出了本人觀點，即認(rèn)為股權(quán)是一種獨立的民事權(quán)利。進(jìn)而從股權(quán)的財產(chǎn)性和非財產(chǎn)性兩方面，對于股權(quán)的可繼承性進(jìn)行分析，最后得出有限責(zé)任公司股權(quán)是可以繼承的這一結(jié)論。 其次，本文詳細(xì)闡述了我國《公司法》中的股權(quán)繼承制度。本部分先是結(jié)合了相關(guān)法律規(guī)定和有限責(zé)任公司股權(quán)繼承的主體和客體要件，對于股權(quán)繼承制度進(jìn)行了一個清晰的定位。而后從有限責(zé)任公司人和性并非股權(quán)繼承的障礙和人和性對股權(quán)繼承的限制這兩個角度，重點剖析了有限責(zé)任公司人和性對于股權(quán)繼承的影響。最后，具體論述了我國《公司法》的價值取向?qū)τ诠蓹?quán)繼承制度的影響。 再次，通過對德國、法國和美國相關(guān)法律制度的考查，經(jīng)過深層次分析和比較，發(fā)現(xiàn)了我國《公司法》關(guān)于有限責(zé)任公司股權(quán)繼承制度的不足之處和有待完善的地方。而后結(jié)合自身的研究和學(xué)習(xí)體會總結(jié)出了國外相關(guān)法律制度對于我國有限責(zé)任公司股權(quán)繼承制度的影響與啟示。 最后，綜合以上有關(guān)有限責(zé)任公司股權(quán)繼承問題的分析和闡述，具體指出了我國《公司法》關(guān)于股權(quán)繼承制度規(guī)定存在的缺陷，并且針對于這些缺陷和不足之處，提出了對于我國有限責(zé)任公司股權(quán)繼承制度完善的建議。
[Abstract]:The equity inheritance of limited liability company is one of the important issues of the company law . The limited liability company , as a form of the company , has its own characteristics besides the general characteristics of the company and its own characteristics .

This paper first discusses the inheritance of the equity of the limited liability company . First , the concept of equity is established , and then the property of the equity is analyzed . On the basis of detailed research and thorough analysis of the theory of equity inheritance of limited liability companies , the author puts forward that the equity is an independent civil right .

Secondly , this paper describes the inheritance system of equity in Chinese company company law . First , this part combines the relevant legal provisions and the subject and object element of the inheritance of the stock rights of limited liability companies , and makes a clear orientation to the inheritance system of the stock rights .

Thirdly , through the deep analysis and comparison of the relevant legal system in Germany , France and the United States , we find out the deficiency and the place to be perfected about the inheritance system of the stock rights of the limited liability company .

Finally , the analysis and exposition of the stock rights succession problem of the limited liability company are pointed out , and the defects existing in the equity inheritance system are pointed out in detail , and the suggestion about the improvement of the equity inheritance system of the limited liability company is put forward in the light of these defects and shortcomings .
