【摘要】： 有限合伙起源于中世紀(jì)歐洲一種康孟達(dá)契約,是一種商事組織形態(tài),因適應(yīng)高風(fēng)險(xiǎn)投資的需要而與普通合伙分離,并在多種法律和經(jīng)濟(jì)因素的綜合作用下得到發(fā)展,已為很多國(guó)家的立法所采納。我國(guó)新修訂的《合伙企業(yè)法》規(guī)定了有限合伙這種企業(yè)組織形態(tài),該組織與有關(guān)民事主體相比更具有制度創(chuàng)新性和獨(dú)特的適用價(jià)值。 本文采用歷史分析、比較分析和結(jié)構(gòu)分析的研究方法,對(duì)有限合伙的歷史發(fā)展及立法情況作敘述,介紹有限合伙制度的立法動(dòng)因,并對(duì)有限合伙的概念、法律特征以及有限合伙人的權(quán)利進(jìn)行描述,分析有限合伙的內(nèi)涵以及有限合伙人權(quán)利的特殊性。然后,通過(guò)論述有限合伙人的治理機(jī)制,分析當(dāng)前有限合伙人在企業(yè)治理過(guò)程中可能面臨的各種問(wèn)題和風(fēng)險(xiǎn),并通過(guò)比較外國(guó)立法,并借鑒《公司法》對(duì)于中小股東的權(quán)利保護(hù)措施,結(jié)合當(dāng)前實(shí)務(wù),提出保障有限合伙人權(quán)利的幾種具體措施和構(gòu)想。最后還研究了有限合伙人在權(quán)利受到侵害的時(shí)候如何得到救濟(jì),以及有限合伙人違反義務(wù)的情況下如何承擔(dān)責(zé)任的問(wèn)題。綜合分析了我國(guó)目前所能提供的權(quán)利救濟(jì)路徑和責(zé)任承擔(dān)機(jī)制的利弊,并對(duì)以后的立法改革方向提出了自己的一點(diǎn)想法。
[Abstract]:Limited partnership originated from a Conmandas contract in medieval Europe. It is a form of commercial organization, which is separated from the common partnership because of meeting the needs of high risk investment, and developed under the combined action of various legal and economic factors. It has been adopted in many countries. The newly revised Partnership Enterprise Law in China provides for the limited partnership, which is more innovative and applicable than the civil subjects concerned. Using the methods of historical analysis, comparative analysis and structural analysis, this paper describes the historical development and legislative situation of limited partnership, introduces the legislative motivation of limited partnership system, and introduces the concept of limited partnership. The legal characteristics and the rights of limited partners are described, and the connotation of limited partnership and the particularity of rights of limited partners are analyzed. Then, by discussing the governance mechanism of limited partners, this paper analyzes the various problems and risks that limited partners may face in the process of corporate governance, and compares foreign legislation. By referring to the protection measures of minority shareholders in Company Law and combining with the current practice, this paper puts forward several concrete measures and ideas to protect the rights of limited partners. Finally, it studies how the limited partner can get relief when his rights are infringed, and how to bear the responsibility if the limited partner violates his obligation. This paper comprehensively analyzes the advantages and disadvantages of the right relief path and the responsibility undertaking mechanism that our country can provide at present, and puts forward some thoughts on the direction of the legislative reform in the future.
