【摘要】:有限責(zé)任公司,以其較低的設(shè)立門(mén)檻和相對(duì)靈活的組織結(jié)構(gòu),自被創(chuàng)設(shè)以來(lái),逐漸在包括我國(guó)在內(nèi)的各國(guó)發(fā)展為一種極受青睞的企業(yè)組織形式。隨著投資形式的多樣化和資本流動(dòng)的日趨頻繁,使得我國(guó)有限責(zé)任公司股權(quán)轉(zhuǎn)讓,尤其是協(xié)議股權(quán)轉(zhuǎn)讓問(wèn)題大量出現(xiàn)。2005年我國(guó)《公司法》修訂之后,對(duì)有限責(zé)任公司股權(quán)轉(zhuǎn)讓設(shè)立專章規(guī)定,對(duì)舊《公司法》就此過(guò)于抽象和原則性的規(guī)定進(jìn)行了諸多改進(jìn)和細(xì)化。但現(xiàn)行《公司法》之規(guī)定,在邏輯性和可操作性方面仍存在一些不足。本文將以現(xiàn)行《公司法》第72條為基礎(chǔ),對(duì)股權(quán)轉(zhuǎn)讓基本理論進(jìn)行梳理的同時(shí),結(jié)合其他部分國(guó)家和地區(qū)協(xié)議轉(zhuǎn)讓之相關(guān)立法例,嘗試對(duì)我國(guó)現(xiàn)行有限責(zé)任公司股權(quán)轉(zhuǎn)讓中協(xié)議轉(zhuǎn)讓的限制規(guī)定提供一些具可操作性之建議。本文分為四部分: 第一章為股權(quán)轉(zhuǎn)讓基本理論。首先,討論了股權(quán)的概念,明確股權(quán)是一種不同于傳統(tǒng)物權(quán)、債權(quán)和人身權(quán)的獨(dú)立的新型民事權(quán)利。其次,明確股權(quán)轉(zhuǎn)讓概念,并論述有限責(zé)任公司在股權(quán)轉(zhuǎn)讓制度設(shè)計(jì)上面臨的資合與人合、法治與自治以及公平與效率三對(duì)價(jià)值沖突,明確了一個(gè)合理而愿意被人們遵守的股權(quán)轉(zhuǎn)讓制度,須在各項(xiàng)價(jià)值之間取得最大平衡。 第二章闡述股權(quán)內(nèi)部轉(zhuǎn)讓規(guī)范。首先,列舉部分主要國(guó)家和地區(qū)有關(guān)股權(quán)內(nèi)部轉(zhuǎn)讓限制的立法例。其次,評(píng)析了我國(guó)就股權(quán)內(nèi)部轉(zhuǎn)讓從絕對(duì)自由模式到章程自治模式的立法選擇,論證我國(guó)現(xiàn)階段仍有必要通過(guò)立法設(shè)置任意性規(guī)范,以對(duì)公司章程有關(guān)規(guī)定的設(shè)立進(jìn)行一定引導(dǎo)。進(jìn)而從保護(hù)公司“人合性”、股東期待權(quán)以及股東平等原則角度,闡述股權(quán)內(nèi)部轉(zhuǎn)讓限制的必要性,對(duì)我國(guó)有限責(zé)任公司股權(quán)內(nèi)部轉(zhuǎn)讓限制提出相應(yīng)立法建議。最后,探討了我國(guó)對(duì)股權(quán)內(nèi)部轉(zhuǎn)讓導(dǎo)致的一人公司問(wèn)題應(yīng)有的立法態(tài)度。 第三章討論了股權(quán)外部轉(zhuǎn)讓。其中重點(diǎn)討論股權(quán)外部轉(zhuǎn)讓的同意制度和股東優(yōu)先購(gòu)買(mǎi)權(quán)制度。首先,列舉部分主要國(guó)家和地區(qū)立法例。其次,以學(xué)界爭(zhēng)議集中的同意主體、表決規(guī)則、推定同意制度的適用以及轉(zhuǎn)讓同意制度之救濟(jì)為切入點(diǎn),就現(xiàn)有股權(quán)轉(zhuǎn)讓同意制度展開(kāi)討論,并提出相應(yīng)立法建議。最后,闡述了股東優(yōu)先購(gòu)買(mǎi)權(quán)的概念、性質(zhì)、理論基礎(chǔ),并從行使主體、“同等條件”的確定、部分行使優(yōu)先購(gòu)買(mǎi)權(quán)以及行使期限等方面討論了優(yōu)先購(gòu)買(mǎi)權(quán)的行使問(wèn)題。 第四章有限責(zé)任公司股權(quán)轉(zhuǎn)讓限制制度設(shè)計(jì)之建議分別從有限責(zé)任公司股權(quán)內(nèi)部轉(zhuǎn)讓和外部轉(zhuǎn)讓角度綜合闡述了本文對(duì)我國(guó)股權(quán)轉(zhuǎn)讓制度的若干立法建議。
[Abstract]:Limited liability company, with its low threshold of establishment and relatively flexible organizational structure, has gradually developed into a very popular form of enterprise organization in various countries, including China. With the diversification of investment forms and the increasing frequency of capital flow, the issue of equity transfer of limited liability companies in China, especially the transfer of agreed shares, appears in large numbers. The establishment of a special chapter on the transfer of shares in a limited liability company has made many improvements and refinements to the provisions of the old Company Law which are too abstract and principled. However, the current provisions of Company Law still have some shortcomings in logic and maneuverability. Based on Article 72 of the current Company Law, this paper will comb the basic theory of equity transfer, and combine with other parts of the countries and regions of the relevant legislation on the transfer of agreements. This paper attempts to provide some operable suggestions on the restrictions on the transfer of shares of limited liability companies in China. This paper is divided into four parts: The first chapter is the basic theory of equity transfer. Firstly, the concept of equity is discussed. It is clear that equity is a new kind of independent civil right which is different from traditional real right, creditor's right and personal right. Secondly, it clarifies the concept of equity transfer, and discusses three pairs of value conflicts faced by limited liability companies in the design of equity transfer system, including the combination of capital and person, the rule of law and autonomy, and fairness and efficiency. It is clear that a reasonable and willing share transfer system should strike the best balance among the values. The second chapter describes the internal transfer of equity norms. First of all, list some major countries and regions on the internal transfer of equity transfer legislation. Secondly, it analyzes the legislative choice of the internal transfer of equity from absolute freedom to the autonomy of articles of association, and proves that it is still necessary to set up arbitrary norms through legislation in our country at the present stage. To guide the establishment of the articles of association. From the point of view of protecting the "human nature" of the company, the right of expectation of shareholders and the principle of equality of shareholders, this paper expounds the necessity of the restriction on the internal transfer of equity, and puts forward corresponding legislative suggestions on the restriction of the internal transfer of equity in the limited liability company of our country. Finally, the author discusses the legislative attitude of our country to the problem of one-man company caused by internal transfer of equity. The third chapter discusses the external transfer of equity. It focuses on the consent system of external transfer of equity and the system of shareholders' preemptive right. First of all, some major countries and regions are listed as examples of legislation. Secondly, with the consent subject, voting rules, the application of the presumption consent system and the relief of the transfer consent system as the starting point, this paper discusses the existing consent system of the transfer of shares and puts forward the corresponding legislative proposals. At last, this paper expounds the concept, nature and theoretical basis of the prior purchase right of shareholders, and discusses the exercise of the preemptive right from the aspects of the exercise subject, the determination of "equal conditions", the partial exercise of the preemptive right and the duration of the exercise of the preemptive right. The fourth chapter of the limited liability company equity transfer restriction system design recommendations from the limited liability company equity transfer internal and external transfer perspective of the comprehensive elaboration of this article on the stock transfer system of some legislative suggestions.
