【摘要】：我國正處在由計(jì)劃經(jīng)濟(jì)向市場經(jīng)濟(jì)轉(zhuǎn)型的重要時(shí)期,家族企業(yè)在獲得了長足發(fā)展后,已經(jīng)成為“構(gòu)建和諧社會(huì)”語境下一支重要的經(jīng)濟(jì)力量。隨著公司法的不斷完善,家族企業(yè)采用公司這一現(xiàn)代企業(yè)形態(tài)的越來越多,公司型家族企業(yè)日益引起人們的關(guān)注。 本文從宏觀(環(huán)境)、中觀(企業(yè)網(wǎng)絡(luò))和微觀(單個(gè)企業(yè))三個(gè)層面,沿著“過去——現(xiàn)在——未來”的思路,對(duì)轉(zhuǎn)型期我國公司型家族企業(yè)治理的問題進(jìn)行了比較系統(tǒng)的分析,以期能對(duì)其突破現(xiàn)實(shí)困境提供某種指引。 論文共包括引言、正文和結(jié)束語三個(gè)部分,其中正文又分為三章。引言部分對(duì)研究的意義、方法和創(chuàng)新點(diǎn)進(jìn)行了介紹。 正文第一章首先對(duì)家族企業(yè)的概念、特征及公司型家族企業(yè)的制度優(yōu)勢(shì)進(jìn)行了概述。接著從過程的角度,以近代中國為例分析了公司與家族的融合,并對(duì)公司型家族企業(yè)的未來發(fā)展趨勢(shì)做出大膽預(yù)測。 第二章是論文的重點(diǎn),主要運(yùn)用法學(xué)和經(jīng)濟(jì)學(xué)的相關(guān)知識(shí),分別對(duì)兩類公司型家族企業(yè)(有限公司型和股份公司型)治理的共同困境和各自的獨(dú)特問題進(jìn)行了分析。 第三章針對(duì)公司型家族企業(yè)治理的困境提出了相應(yīng)的對(duì)策。 結(jié)束語部分對(duì)公司型家族企業(yè)的理論研究進(jìn)行了展望,并指出本課題有待進(jìn)一步研究的內(nèi)容。
[Abstract]:Our country is in the important period of transition from planned economy to market economy. After getting great development, family business has become an important economic force in the context of "building a harmonious society". With the continuous improvement of company law, more and more family enterprises adopt this modern enterprise form. From the macro (environment), meso (enterprise network) and micro (individual enterprise) levels, this paper follows the idea of "past-present-future". This paper makes a systematic analysis on the problems of corporate family business governance in China during the transition period in order to provide some guidance to break through the practical predicament. The thesis includes three parts: introduction, text and conclusion, in which the text is divided into three chapters. The introduction introduces the significance, method and innovation of the research. The first chapter summarizes the concept, characteristics and institutional advantages of the family firm. Then, from the point of view of process, taking modern China as an example, this paper analyzes the fusion of company and family, and makes a bold prediction of the future development trend of company-type family business. The second chapter is the focus of the paper, mainly using the relevant knowledge of law and economics to analyze the common dilemma and their unique problems of the governance of the two types of family enterprises (limited company and joint-stock company) respectively. The third chapter puts forward the corresponding countermeasures to the predicament of corporate family business governance. In the conclusion part, the author looks forward to the theoretical research of the firm-type family firm and points out that this subject needs further research.
