股東優(yōu)先購買權(quán)制度相關(guān)問題研究

【摘要】:股東優(yōu)先購買權(quán)制度在公司法領(lǐng)域一直占有重要的地位,但隨著市場化程度的加深,我國現(xiàn)行公司法關(guān)于股東優(yōu)先購買權(quán)制度的規(guī)定在立法技術(shù)等方面存在的問題日益凸顯,如程序性規(guī)定不盡完善,某些法律概念相對模糊,某些條文原則籠統(tǒng)且難具操作性,導(dǎo)致各地在司法實踐中的認(rèn)知不盡統(tǒng)一。如何平衡人合性的穩(wěn)定及私權(quán)流通之間的利益,如何在實踐中合理平衡優(yōu)先購買權(quán)人與第三人之間的利益,均成為值得研究的問題。 本文試圖以股東優(yōu)先購買權(quán)制度的基礎(chǔ)理論作為引點,再結(jié)合目前國內(nèi)實踐現(xiàn)狀,對股權(quán)轉(zhuǎn)讓限制規(guī)則、雙重股權(quán)轉(zhuǎn)讓中的權(quán)利沖突、在優(yōu)先購買權(quán)制度理論和具體實踐中所面臨難題等方面進行分析論證,以期對一些亟待解決的問題提出可行性的建議。本文分為前言、正文、結(jié)語三大部分,正文部分共分為四章。 第一章著重闡述股東優(yōu)先購買權(quán)制度的基礎(chǔ)理論問題,主要通過對優(yōu)先權(quán)、優(yōu)先購買權(quán)與股東優(yōu)先購買權(quán)等概念的界定和分析,并結(jié)合股東優(yōu)先購買權(quán)制度中意思自治、維護人合性、效率最大化、第三人利益保護等制度價值的意義,來揭示股東優(yōu)先購買權(quán)制度設(shè)置的目的和必要性。第二章主要介紹了我國現(xiàn)行公司法中關(guān)于股權(quán)轉(zhuǎn)讓限制制度中的基本規(guī)定,并通過介紹日本、法國及美國等國的立法例來明確股權(quán)轉(zhuǎn)讓限制區(qū)別原則的現(xiàn)實意義。第三章則通過對一起股權(quán)轉(zhuǎn)讓糾紛典型案件的分析為起點,列舉目前各地司法實踐中的分歧來評析如何認(rèn)定雙重股權(quán)轉(zhuǎn)讓過程中轉(zhuǎn)讓協(xié)議效力的問題,并試圖借鑒其他法律部門的既成規(guī)定來提出完善方案。第四章主要探討了如何完善股東優(yōu)先購買權(quán)行使制度的具體構(gòu)想。該章通過結(jié)合筆者在司法實踐中碰到的一些典型難題和理論爭議,針對我國公司法第72條規(guī)定的規(guī)則缺陷和不足進行探討,并提出相應(yīng)的完善建議。
[Abstract]:The system of shareholders' preemption right has been playing an important role in the field of company law. However, with the deepening of marketization, the problems existing in the legislation and technology of the system of shareholders' preemption rights in the current company law of our country have become increasingly prominent. For example, the procedural provisions are not perfect, some legal concepts are relatively vague, and some provisions and principles are general and difficult to operate, which leads to different cognition in judicial practice. It is worth studying how to balance the interests between the people's harmony and the circulation of private rights, and how to balance the interests between the preemptive right and the third party in practice. This paper tries to take the basic theory of shareholder's preemptive right system as the leading point, and then combine the current domestic practice, limit the rules of equity transfer and the conflict of rights in the dual equity transfer. This paper analyzes and demonstrates the problems in the theory and practice of preemptive right system in order to put forward some feasible suggestions for some problems to be solved urgently. This article is divided into preface, text, conclusion three parts, the body part is divided into four chapters. The first chapter focuses on the basic theoretical issues of shareholder's preemption right system, mainly through the definition and analysis of the concepts of priority, preemption right and shareholder's preemptive right, and combining with the autonomy of meaning in the system of shareholder's preemptive right. In order to reveal the purpose and necessity of the establishment of shareholder's preemptive right, it is necessary to maintain the value of system value, such as the unity of person, the maximization of efficiency and the protection of the interests of the third party. The second chapter mainly introduces the basic provisions of the stock transfer restriction system in the current company law of our country, and clarifies the practical significance of the principle of differentiating the restriction of equity transfer by introducing the legislation examples of Japan, France and the United States. The third chapter through the analysis of a typical case of equity transfer dispute as the starting point, enumerates the differences in the current judicial practice to assess how to determine the validity of the transfer agreement in the process of dual equity transfer. And try to learn from the existing provisions of other legal departments to put forward a sound plan. The fourth chapter mainly discusses how to perfect the system of shareholders' preemption right. Combining with some typical problems and theoretical disputes in the judicial practice, this chapter probes into the defects and deficiencies of the rules stipulated in Article 72 of the Company Law of our country, and puts forward corresponding suggestions to improve them.
