【摘要】：對(duì)制度的分析可以分為兩種,一種是從經(jīng)濟(jì)學(xué)角度的分析,另一種是從社會(huì)學(xué)角度的分析。關(guān)于制度是怎樣生成的的問題,兩者存在很大的差異。兩個(gè)看法的根本性區(qū)別在于前者關(guān)注受到社會(huì)規(guī)范的影響的人的良心和善對(duì)制度生成的作用,而后者關(guān)注個(gè)人追求自己利益行為的結(jié)果,不太強(qiáng)調(diào)人的良心和善對(duì)制度生成的作用。人認(rèn)知這種行為并賦予某種意義才產(chǎn)生制度,而這種人的認(rèn)知是受到社會(huì)規(guī)范或另一制度的影響的,因而制度的源泉為社會(huì)規(guī)范。公司法制度的價(jià)值也是根據(jù)社會(huì)規(guī)范性的不同而不同的。
[Abstract]:The analysis of the system can be divided into two kinds : one is the analysis of the economic angle and the other is the analysis of the sociology angle . The fundamental difference between the two opinions lies in the fact that the former is concerned with the influence of the social norm and the function of the good to the system , and the latter pays attention to the effect of the people ' s conscience and good to the system . The people ' s cognition is influenced by the social norm or the other system , so the source of the system is the social norm . The value of the company law system is also different according to the social norm .
