【摘要】：薩班斯 -奧克斯利法案是美國公司法立法史上極為重要的聯(lián)邦法案 ,是聯(lián)邦政府繼 193 3年證券法案及 193 4年證券交易法案等聯(lián)邦法案后倡導(dǎo)的有關(guān)公司治理的重要法律規(guī)范。該法案確立了上市公司設(shè)立CEO/CFO的認(rèn)證制度 ;針對大型上市公司的特點設(shè)立明確的董事、高級管理人員履行法定職責(zé)的制衡和保障機(jī)制。本文研析討論薩班斯 -奧克斯利法案之前董事、高級管理人員職責(zé)立法的內(nèi)容及特點 ;探討分析薩班斯 -奧克斯利法案對董事、高級管理人員職責(zé)以及公司治理立法的一些重大改革
[Abstract]:Sarbanes Oxley is the United States company law legislative history is very important for the federal law is an important legal norms about corporate governance after the Securities Act of 1933 and the Securities Exchange Act of 1934, the federal bill sponsored by the federal government. The Act establishes the certification system of listed companies to set up CEO/CFO; set clear board according to the characteristics of large listed companies, senior management personnel to perform their statutory duties restriction and guarantee mechanism. In this study the discussion before Sarbanes Oxley director, the content and characteristics of the senior management personnel responsibility legislation; analysis of the Sarbanes Oxley act to the board of directors, senior management responsibilities and corporate governance legislation of some major reforms
