【摘要】：一人公司,是指公司股份或出資額由一個股東持有,并由股東承擔(dān)有限責(zé)任的公司。 從各國一人公司的發(fā)展來看,在立法上確認一人公司制度之前,在人格否認的相關(guān)判例中顯示出了一些有關(guān)一人公司的相關(guān)內(nèi)容,但對解決現(xiàn)實中存在的形形色色的問題,這顯然是不足的。為了積極發(fā)展一人公司制度,拉近法學(xué)理論與實際運用中的差距,大多數(shù)國家都通過或積極或消極的立法方式承認一人公司的合法性。2006年1月1日,中國正式施行了新《公司法》,承認了一人公司的合法性,韓國是在2001年修訂《商法》中認可了一人公司的設(shè)立。 本文主要通過比較中國和韓國一人公司制度,對中國《公司法》關(guān)于一人公司制度進行解析,提出一些完善的建議。 本文全文約2萬多字,正文分為四個部分。 第一章主要闡述了一人公司的一般理論,介紹了一人公司的概念、發(fā)生原因、存在的必要性和一人公司的類型。 第二章是關(guān)于中國的一人公司制度的概況,主要闡述了中國一人公司制度上的特別規(guī)定和關(guān)于法人格否認制度的相關(guān)規(guī)定。 第三章介紹了韓國的一人公司制度。在韓國,公司被定義為以盈利為目的而設(shè)立的社團,但隨著承認一人公司的合法性存在,在公司的社團性和公司股東有限責(zé)任的法律適用方面相繼出現(xiàn)了一些問題。在此部分筆者比較與中國《公司法》上的相關(guān)規(guī)定,做出了一些利弊分析。 第四章主要采用比較方法闡述了中國在一人公司制度上的不足之處,分析韓國一人公司制度上的可借鑒之處,提出了一些完善我國一人公司制度的建議。
[Abstract]:A one-man company is a company in which shares or contributions are held by one shareholder and are limited by shareholders.From the point of view of the development of one-man companies in various countries, before legislating to confirm the one-man company system, the relevant jurisprudence of personality denial shows some relevant contents about one-person company, but it can solve various problems in reality.This is clearly inadequate.In order to actively develop the one-man company system and close the gap between legal theory and practical application, most countries have recognized the legitimacy of one-person company through positive or negative legislative means. January 1, 2006,China formally implemented the new Company Law and recognized the legality of one-man company. Korea approved the establishment of one-man company in the 2001 revision of Commercial Law.By comparing the one-man company system between China and Korea, this paper analyzes the one-man company system in Company Law of China, and puts forward some perfect suggestions.This text is about 20,000 words, the text is divided into four parts.The first chapter mainly expounds the general theory of one-man company, introduces the concept of one-man company, the reason of occurrence, the necessity of existence and the type of one-man company.The second chapter is about the general situation of one-man company system in China, mainly expounds the special provisions of one-person company system in China and the relevant provisions about legal personality denial system.The third chapter introduces the one-man company system in Korea.In Korea, a corporation is defined as a corporation set up for the purpose of profit. However, with the recognition of the legitimacy of a one-man company, there are some problems in the legal application of the corporation and the limited liability of the shareholders.In this part, the author compares with the relevant provisions of Chinese Company Law and makes some pros and cons.The fourth chapter mainly uses the comparative method to expound the deficiency of the one-man company system in China, analyzes the reference place on the one-man company system in Korea, and puts forward some suggestions to perfect the one-man company system in our country.
