論勞資和諧的公司法理念

【摘要】:不管是大陸法系還是英美法系公司法,其制度構架均以資本為中心:資本出資人既是公司的所有者,也是公司事務的管理者、監(jiān)督者和公司利益的享有者;職工作為公司的雇傭者在公司法上毫無地位,只是提供勞動的客體。但隨著近來勞資關系的平衡和對勞動地位的認知,職工逐漸成為公司法上的主體:他們不僅可以了解公司經(jīng)營狀況,還可以參與公司決策和分享公司利益。由是,形成了與資本絕對公司法理念相對的人本的公司法觀念,直接影響著現(xiàn)代各國公司治理的法律結構。
[Abstract]:Regardless of the civil law system or the common law system company law, its system structure all take the capital as the center: the capital investor is not only the owner of the company, but also the manager of the company affairs, the supervisor and the owner of the company interests;The employee, as the employer of the company, has no status in the company law, but only provides the object of labor.However, with the balance of labor relations and the cognition of labor status, workers and staff members have gradually become the main body of company law: they can not only understand the operating situation of the company, but also participate in the decision-making and share the benefits of the company.Therefore, the humanist concept of company law, which is opposite to the absolute capital company law concept, has a direct impact on the legal structure of corporate governance in modern countries.
