【摘要】： 公司是市場經濟最為活躍的組織形式,是世界各國重要的商事主體之一。公司設立登記直接關涉公司作為法律主體地位的確定,關涉公司的行為能力,對于國家對其實施監(jiān)督管理,保障市場交易的安全和效率具有重要意義。目前我國并無統(tǒng)一的公司登記法,現(xiàn)行的有關公司登記的法律、法規(guī)散見于公司法、行政法規(guī)和國家工商行政管理部門發(fā)布的通知中,以行政法律規(guī)范居多。 公司登記是公司法律制度中最能夠體現(xiàn)國家公權力對私法上的主體進行干預的制度之一。我國的公司登記機關為國家工商行政管理總局及地方行政管理局,為行政機關。從本質上說,公司登記是一種公法行為,具有行政確認的性質。公司登記的特點使其必然蒙上一層較濃厚的國家干預色彩,而其中的規(guī)制也就不可避免。規(guī)制的重要目標就是平衡公司自治與政府規(guī)制的限度,使公司自治與法律規(guī)制相協(xié)調,使得政府行為能有效服務于公司這一市場主體。其中法律規(guī)制是為規(guī)制的重要手段。 我國公司登記為登記要件主義,即不經登記公司不成立,在具體登記中采取了法人資格與營業(yè)能力合而為一的“統(tǒng)一主義”立法模式。實際上,《企業(yè)法人營業(yè)執(zhí)照》是公司獲得營業(yè)能力的表征,公司法人格的獲得應當在于登記機關的核準登記而非營業(yè)執(zhí)照的頒發(fā),而區(qū)分公司法人資格和營業(yè)能力的取得,不僅獲得了公司法理論的圓通,也為解決實踐中吊銷《企業(yè)法人營業(yè)執(zhí)照》后公司主體資格存在與否的困境找到新的路徑。 本文試從研究公司登記制度的理論著手,探討公司登記的價值取向,辨析公司登記的性質和效力,分析我國公司登記的現(xiàn)狀,結合原因和發(fā)展趨勢,對現(xiàn)有登記制度進行評析并對不足之處提出完善建議。本文共分為三部分。第一部分主要介紹了與我國公司登記制度相關的基礎理論,包括公司登記的涵義、價值取向等,明確了我國公司登記的本質。第二部分結合規(guī)制的相關理論,研究我國公司登記的現(xiàn)狀。市場交易存在著失靈的情形,作為對市場安全和國家對經濟有效監(jiān)管的考慮,公司登記體現(xiàn)了政府對國家經濟生活的干預,此種干預是為必要。本段從登記主體、登記效力、登記依據、經營范圍以及登記事項幾個方面進行分析,論證了我國由行政機關管轄公司登記的合理性,著重對公司登記效力進行研究,對營業(yè)執(zhí)照的法律效力進行了思考,對經營范圍是否作為必要登記事項提出了質疑,對我國公司登記事項的要求進行了反思。第三部分為我國公司登記制度的完善探索。規(guī)制同樣存在著失靈的情形,追求利益最大化也是市場發(fā)展的基本要義,因此國家強制須適度,公司應獲得自控下的自由。公權力的干預應以公司自治為原則,以必要為限,僅當公司濫用自治權利有危害公共利益和國家經濟安全之虞時方得適用。我國公司法律制度近年來雖有改革,但仍需完善,尤其在登記效力和登記內容方面,以期進一步實現(xiàn)公司登記效率與安全兼顧之價值取向。
[Abstract]:The company is the most active form of market economy, is one of the important commercial agent all over the world. This paper tries to study company registration system theory, value orientation of company registration, company registration of the nature and effectiveness, analysis of the current situation of corporate registration in China, combined with the reasons and development trend analysis and to provide suggestions to improve the shortcomings of existing registration system. This paper is divided into three parts.
