【摘要】：正 中共中央《關(guān)于建立社會(huì)主義市場(chǎng)經(jīng)濟(jì)體制若干問(wèn)題的決定》提出了法人財(cái)產(chǎn)權(quán)的概念,隨后頒布的《中華人民共和國(guó)公司法》從法律上對(duì)此予以了確認(rèn)。法人財(cái)產(chǎn)權(quán)是法人的基本權(quán)利。但是,法人財(cái)產(chǎn)權(quán)究竟是什么權(quán)利?學(xué)術(shù)界卻存在著不同的理解。見(jiàn)諸報(bào)刊雜志的說(shuō)法有:經(jīng)營(yíng)管理權(quán)、雙重所有權(quán)、新型物權(quán)、綜合權(quán)利、派生所有權(quán),等等。筆者認(rèn)為,之所以產(chǎn)生這么多的分歧,最根本的原因就是沒(méi)有從法人的基本特征上去探根尋源。因此,只有弄清法人的基本特征,才能正確理解法人財(cái)產(chǎn)權(quán)。
[Abstract]:The decision of the CPC Central Committee on the Establishment of a Socialist Market economy system puts forward the concept of the property right of legal persons, which was confirmed by the Company Law of the people's Republic of China.The property right of legal person is the basic right of legal person.But what is the legal person's right to property?There are different understandings in academia.In the newspapers and magazines there are: management right, dual ownership, new real right, comprehensive right, derivative ownership, and so on.The author believes that the most fundamental reason for so many differences is that the root of the legal person is not explored.Therefore, only by making clear the basic characteristics of legal person, can the property right of legal person be correctly understood.
